“The Executive Committee is comprised of the elected officers (President, Vice-President/President-Elect, Immediate Past President, Secretary, and Treasurer) and the Executive Director of the Council. The Executive Committee has the authority of the full Board between meetings.”

“National Council of University Research Administrators has three classes of members: Regular members - Any person engaged in the administration of sponsored programs in a college or university, a teaching or not for profit hospital, and independent not for profit research institute, or an organization wholly organized and administered by a college or university or a consortium of colleges and universities, or an association or society with individual or institutional members predominantly from colleges and universities, is eligible for membership. Associate members - Any person who is not qualified for membership under the definition of regular member, but whose activities are related to the administration of sponsored programs at colleges and universities, is eligible for associate membership. Emeritus members - Any person who has been an active member or associate member for five years prior to retirement may become an emeritus member or an emeritus associate member.”

“The Form 990 is prepared by an independent accounting firm and the Association's management performs a detailed review of the Form 990 prior to filing with the IRS.”

“All staff, Board, and committee members are required to review and sign the conflict of interest policy annually. Any person who notes a current or potential conflict must disclose, on the Association's COI/confidentiality form, to the Executive Director and a management plan is put in place. The Executive Director discloses any current or potential conflict they may have to the Board President. The Executive Director monitors the policy with respect to the Board members and employees, and the Board President monitors the policy with respect to the Executive Director. Any Board member with a conflict of interest would abstain from voting on the matter.”

“National Council of University Research Administrators uses compensation surveys/studies and Form 990s or organizations of similar size and purpose to determine the reasonableness of the Executive Director's compensation. The process is completed by an independent compensation committee consisting of the Board President and Immediate Past President and documented in an official letter to the Executive Director which is also kept on file. This process was last completed for the Executive Director in 2013.”
