“The executive committee shall have and may exercise all the powers and authority of the board of directors in the management of the business and affairs of amp and may authorize the seal of amp to be affixed to all papers that may require it. In addition, the board of directors may delegate to the executive committee power and authority to elect one or more officers of amp including, without limitation, its executive director. Notwithstanding anything in the foregoing that may be viewed to the contrary, the board of directors shall have and retain the authority to review, and to take any action the board deems advisable with respect to, any action of the executive committee.”

“The form 990 is first reviewed by the executive director and the board secretary. The 990 is then reviewed by the audit committee before it is finalized and filed with the irs. The entire board of directors receives an electronic copy of the form 990 after it has been filed.”

“The amp conflict policy is signed and filed annually by all board members, staff members and key stakeholders upon commencement of their relationship with amp. The policy states it is the responsibility of an individual to file an amended version of the form within 30 days of the development of a potential conflict of interest. The policy and form are distributed with the materials for the board's annual meeting each year. Amp is instituting an email or other reminder of the policy provisions every 6 months to all board and staff members. The policy itself details the enforcement procedures: when a possible conflict of interest is disclosed, the board of directors shall determine if a conflict of interest exists, shall vote to authorize or reject the transaction or take other action deemed necessary. The board may delegate approval authority under this policy to the executive committee.”

“Compensation for the executive director is determined by the board of directors based on comparable salaries at the time of hiring. Ongoing salary increase determinations are made based on the executive director's performance and annual budget of the organization. The board secretary is an employee, therefore the executive director determines the board secretary's salary based on other job duties. An annual performance evaluation of the board secretary is conducted. Salary increases are based on performance and available funds in the approved annual budget of the organization. A performance evaluation of the executive director and board secretary were last performed in september 2023.”
