Governance Explanations

Form 990, Part VI, Section B, Line 11B

Prior to filing the form 990, it is sent to the president & ceo, deirdre white. The full board of directors is provided an electronic copy of the full form 990 and an opportunity to comment on it.

Form 990, Part VI, Section B, Line 12C

Management and board members are asked to disclose any business and/or family relationships with other members of the organization and clients. Once disclosed, the other members would then determine whether or not a potential conflict of interest exists. If it is determined that such conflict exists, a course of action is taken.

Form 990, Part VI, Section B, Line 15

The compensation of the president and other employees is reviewed annually. Each december, the executive team comprised of the president & ceo, coo, vice chair of the board, vice president, and cfo meet to establish the guidelines for compensation for the coming year. The compensation package is a combination of salary increase and bonuses. Salary increase is based on individual performance in achieving the company goals and salary guide for the industry. Bonus pay is based on the company's financial performance and the individual's contribution towards meeting the financial goal. During this process, the executive team takes in and goes over each annual performance review and updated job descriptions for each position and compares them to market data to ensure a competitive pay for all employees.

Form 990, Part VI, Section C, Line 19
