The form 990 was prepared by the outside accountants and reviewed by the treasurer. The full board received a copy of the form 990 before it was filed with the irs.

Form 990, Part VI, Section B, Line 12C

In connection with any actual or possible conflict of interest, an interested person (or, if not a director, officer or committee member, then the director, officer or committee member related to such interested person) must disclose the existence of his or her financial or other interest and must be given the opportunity to disclose all material facts to the board and any relevant committee members. The board requires that such disclosure be made in writing. The person who makes a disclosure pursuant to a conflict of interest, recuses themself from participation in the corporation's decision making with respect to the transaction that is the subject of the disclosure, unless a majority of the disinterested directors voting on such transaction decides otherwise. If a director makes a disclosure pursuant to a conflict of interest, the director may not vote to authorize, ratify or confirm the transaction that is the subject of the disclosure. If a majority of the disinterested directors determines that no conflict of interest exists, the director who was presumed to be an interested person or related to an interested person can participate fully in the discussions, deliberations and votes of the board relating to the transaction. If the procedures have not been followed in considering a transaction, the board may vote to reconsider such transaction. If the board has reasonable cause to believe that a director, officer, or committee member has failed to disclose actual or possible conflicts of interest, it informs the director, officer, or committee member of the basis for such belief and affords the director, officer, or committee member an opportunity to explain the alleged failure to disclose. If, after hearing the response of the director, officer, or committee member and making further investigation as may be warranted in the circumstances, the board or committee determines that the director, officer, or committee member has in fact failed to disclose an actual or possible conflict of interest, the board takes appropriate disciplinary and corrective action.
