Governance Explanations

Form 990, Part VI, Section B, Line 11

The draft irs tax form 990 is shared via email with the board of directors, executive and finance committees. The finance committee meets by conference call to review the form before the chief executive officer signs it. The finance committee will include a summary of this review in its next report to the board of directors.

Form 990, Part VI, Section B, Line 12C

The society's conflict of interest statement is sent annually to each board member (via email and mail) with a request that each sign and return it. Staff follow up to ensure that all board members sign the document before the first meeting of the board each year. At that meeting, any members who have not signed already are given an opportunity to sign it. Any board member who refuses to sign the statement is asked to resign from the board.

Form 990, Part VI, Section B, Line 15A

8. The ceo is reviewed annually by the society's executive committee prior to the anniversary date of the ceo's contract based upon performance criteria and goals provided in writing to the ceo at the beginning of the period under review. The executive committee uses data as to comparable compensation for similarly qualified persons in functionally comparable positions at similarly situated organizations in making decisions about any raises in compensation for the ceo. Any members of the executive committee with conflicts of interest with respect to the compensation arrangements are not involved in the review and approval. A summary of the actions taken by the executive committee is presented by the committee chair to an executive session of the board. The summary includes 1. The committee members present during the discussion and those who voted on it, 2. The comparability data used and how they were obtained, 3. The terms and date of the approved compensation, and 4. The rationale for determining why executives' compensation might exceed that of a comparable organization or market. All other staff are reviewed by the organization's ceo in accordance with her employment contract. Staff reviews consist of written self-evaluations, meetings with the supervisor, and written supervisor comments. Compensation decisions are based on the reviews and comparability data from similar organizations.

Financial Statement Notes

PART X, LINE 2:

The society performed an evaluation of uncertain tax positions for the years ended december 31, 2013 and 2012, and determined that there were no matters that would require recognition in the financial statements or which may have any effect on its tax-exempt status. As of december 31, 2013, the statute of limitations for tax years 2010 and later remains open with the u.s. Federal jurisdiction or the various states and local jurisdictions in which the society files tax returns. It is the society's policy to recognize interest and penalties related to uncertain tax positions, if any, in income tax expense.
