Governance Explanations

The governing body reviews audited financial statements and governance structures for that year and ensures that the 990 is completed correctly and agrees with all records. The 990 is provided to the entire board for review and approval before it is filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The organization has a conflict of interest policy in accordance to which two forms of potential conflicts of interest may be identified, where a director has a direct personal interest in any payment made to him, her or a family member by environmental investigation agency, inc. And where a director has an indirect personal interest, i.e., where a payment is made by environmental investigation agency inc. To an organization or individual with which a director or employee or adviser has a relationship, either as an employee, director, or in some other way. Eia periodically discusses its conflict of interest policy with its members, and consistently monitors and enforces compliance with the policy.

Form 990, Part VI, Section B, Line 15

Eia has established a framework for compensation structure resulting from the recommendations of a compensation study, conducted by independent external consultants, which was informed by comparison with other similarly situated nonprofit organizations in the washington, dc region and organizations of comparable size, scope, and revenue and informed by best practices. The performance review process is managed by the hr manager in close coordination and oversight by the chief operations and finance office and the executive director, under the board's oversight, to ensure that eia's compensation program is properly implemented and monitored, and achieves the established goals of internal equity and fair and competitive market-based compensation. The compensation of top executive is administered by the board of directors responsible for reviewing and recommending the salary adjustments and incentives package in compliance with eia compensation policy, the executive compensation policy, and applicable regulations. The decision is documented in the board minutes and in the corresponding individual personnel file. Informal surveys of like-sized ngos and other independent published data are also referred to when assessing reasonable, equitable and fair compensation in reference to eia's compensation structure and policies. The organizations' levels of funding and donor limitations are also factored in when establishing and adjusting officers and key employees' compensation levels. The most recent review of the executive director took place in august 2019. Employee salaries are reviewed annually, based on performance evaluation and other salary considerations. Direct and back-up supervisors will make salary increase recommendations based on assessed performance, and in consultation with the hr manager who in close coordination with the chief operations and finance office will ensure the process is fair and equitable and in compliance with the established compensation policy. The executive director will be consulted as needed throughout the annual review process. Salary adjustments are documented in the employee's personnel file.
