Governance Explanations

Form 990, Part VI, Section B, Line 11B

Form 990 review process once the form 990 and all schedules have been prepared by the organization's professional tax services provider, members of relevant committees of the organization, entity operational leadership, and finance management review applicable portions of the form 990. The completed form 990 is also made available to the board of children's national prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

Conflict of interest policy monitoring & enforcement children's national and subsidiaries asks that each officer, director, and key employee complete a conflict of interest form at least every year. In addition, each officer, director, and key employee is instructed to amend the conflict of interest form immediately upon a change in status of any of the questions on the form. These forms are reviewed annually by the chief legal officer and conflicts of interest are noted. The children's national board makes a determination, based on the recommendation of the chief legal officer as to which persons should be considered "interested parties" based on the criteria set forth in the board's governance policy.

Form 990, Part VI, Section B, Line 15

Process for determining compensation children's national's president, other officers, and key employees are compensated by its controlled subsidiary, children's hospital (dba children's national hospital), but compensation is determined by a children's national committee of the board of directors. The people, culture and compensation committee of the children's national board of directors is comprised wholly of disinterested, independent board members. The committee has retained independent outside consultants who are experts on compensation matters. The people, culture and compensation committee of the children's national board determines adjustments in compensation, including base pay, incentives, and other forms of compensation, for each person deemed by the committee to be a "disqualified person" as that term is used in the intermediate sanctions regulations of the irs. The committee is informed in its decision-making by compensation studies and comparisons done by the independent consultant and relies upon "reasonableness" opinions for such consultants, prior to or contemporaneous with making compensation decisions. The committee meets 4-6 times per year to consider such matters.

Home to the children's national research & innovation and the sheikh zayed institute for pediatric surgical innovation, children's national is one of the nation's top nih-funded pediatric research institutions. Children's national is recognized for its expertise and innovation in pediatric care and as a strong voice for children through advocacy at the local, regional and national levels. Children's national is dedicated to fulfilling its vision of setting the standard in excellence in pediatric care, advocacy, research, and education, here in the nation's capital, around the country, and throughout the world. As part of our commitment to our community, below are some of the programs and activities that were conducted in fy2024. Safe concussion outcome recovery & education (score) program the safe concussion outcome recovery & education (score) program is a comprehensive clinical, research and educational program to evaluate and manage the care of children and adolescents with concussions (also known as mild traumatic brain injury or mtbi). The program consults with healthcare providers regionally and nationally, as well as scholastic and youth recreational sports programs in which children are vulnerable to injury. Clinicians in the score program have specific expertise in managing academic needs and work with schools to assure a safe and effective return to school. The score program has four goals: - provide the highest level of service to children, adolescents and young adults with concussions/mild tbi - increase research-based knowledge, skills and instrumentation used in evaluation and treatment of concussions/mild tbi - develop the next generation of highly qualified professionals to treat children and adolescents with concussions/mild tbi - improve the general knowledge and skill of people in the medical, educational and athletic community regarding the specific treatment/needs of individuals with concussions/mild tbi in fy 2024, score program staff educated local pediatricians and school personnel including school nurses and teachers on

Pediatric Mental Health

Recent national surveys of children have shown increases in the prevalence of mental health challenges. In 2021, u.s. Surgeon general dr. Vivek murthy issued an advisory detailing an urgent youth mental health crisis. The leading child health associations also declared a youth mental health crisis in october 2021. Mental health is shaped by many factors including biological and environmental factors such as life experiences. As young people deal with mental health challenges, access to pediatric mental health care is a challenge of national scale. Mental health remains a priority for children's national with staff working to empower primary care providers with training, advocate for equitable mental health services through policy and advocacy efforts at local, national and federal levels, and education of community residents through parent cafs which are designed to address stigmas around mental health and behavioral health challenges within families. In collaboration with carefirst bluecross blueshield (carefirst), we convened a 1-day pediatric mental health summit of community leaders, providers, elected officials, and other stakeholders to discuss children's mental health in the capitol region. The goal of the summit was to increase awareness and understanding of the youth mental health crisis, opportunities and challenges to improve access to mental health services and identify potential changes in policy and programmatic efforts related to youth mental health. The summit included panel discussions with federal officials regarding policies and opportunities, leaders of national organizations who originally declared the children's mental health crisis, and local and regional programs working to improve access to mental health services. Over two hundred attendees participated in the summit. Building on the success of the summit, staff are now currently producing webinars in collaboration with carefirst, for community residents to educate and bring awareness of mental health challenges faced by youth. Liability for uncertain tax positions (asc 740) fin 48 financial statement footnote from children's national medical center (children's national) is as follows: children's national evaluates uncertain tax positions using a two-step approach for recognizing and measuring tax benefits taken or expected to be taken in an unrelated business activity tax return and disclosures regarding uncertainties in tax positions. There was no impact on children's national's financial statements during the years ended june 30, 2024 and 2023 as children's national has no uncertain tax positions.
