Governance Explanations

Form 990, Part VI, Section A, Line 1

Their bylaws established an executive committee to consist of a president, vice president, treasurer and secretary and such other directors as may be elected in accordance with the provisions of this article. Between regular meetings of the board of directors, the executive committee may exercise all of the authority of the board of directors except that the executive committee shall not have authority to amend the articles of incorporation or the bylaws, to sell, lease, exchange, mortgage or otherwise dispose of all or substantially all of the assets of the corporation other than in the ordinary course of its nonprofit activities, to merge or consolidate the corporation, to dissolve or liquidate the corporation or to engage in any other activities which may not, under applicable law, be delegated to a committee of the board of directors. Actions by the executive committee shall be taken in accordance with the provisions of the bylaws governing actions by the board of directors.

Form 990, Part VI, Section B, Line 11B

The executive director reviews the form 990 and then sends it to the full board for their review and approval before it is filed with the irs.

Form 990, Part VI, Section B, Line 12C

The conflict of interest forms are filled out and signed by each board member at the annual retreat. The executive director follows up on any board member who has not submitted a completed form. In addition, all incoming new board members are required to sign a conflict of interest form upon their joining as board members.

Form 990, Part VI, Section B, Line 15

In evaluating an appropriate compensation package for the executive director and other officers and key employees, the board's executive committee primarily considers the following three factors: (1) salary survey data from professionals of other nonprofits, (2) year-end bonus payments made to personnel other than the executive director, and (3) the executive director's job performance. Based on these measures, the executive committee recommends to the board the raise in salary and the payment of a bonus. In communicating the compensation package to the executive director, several members of the executive committee give an appraisal to the executive director regarding his/her job performance. The last review was performed in january 2018.

Form 990, Part VI, Section C, Line 19

The organization's financial statements and other governing documents are made available to the public upon written request.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0THEIR BYLAWS ESTABLISHED AN EXECUTIVE COMMITTEE TO CONSIST OF A PRESIDENT, VICE PRESIDENT, TREASURER AND SECRETARY AND SUCH OTHER DIRECTORS AS MAY BE ELECTED IN ACCORDANCE WITH THE PROVISIONS OF THIS ARTICLE.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1THE EXECUTIVE DIRECTOR REVIEWS THE FORM 990 AND THEN SENDS IT TO THE FULL BOARD FOR THEIR REVIEW AND APPROVAL BEFORE IT IS FILED WITH THE IRS.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2THE CONFLICT OF INTEREST FORMS ARE FILLED OUT AND SIGNED BY EACH BOARD MEMBER AT THE ANNUAL RETREAT.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3IN EVALUATING AN APPROPRIATE COMPENSATION PACKAGE FOR THE EXECUTIVE DIRECTOR AND OTHER OFFICERS AND KEY EMPLOYEES, THE BOARD'S EXECUTIVE COMMITTEE PRIMARILY CONSIDERS THE FOLLOWING THREE FACTORS: (1) SALARY SURVEY DATA FROM PROFESSIONALS OF OTHER NONPROFITS, (2) YEAR-END BONUS PAYMENTS MADE TO PERSONNEL OTHER THAN THE EXECUTIVE DIRECTOR, AND (3) THE EXECUTIVE DIRECTOR'S JOB PERFORMANCE.
