“The whac has approximately 430 members. Members elect board members from a list of candidate nominees proposed by a board-designated nominating committee, or by a petition of nomination signed by at least 10 members, prior to the annual membership meeting. Also, the organization's by-laws may be amended by a two-thirds vote of the membership, when there is a scheduled meeting of the membership and an announcement that the matter of amending the by-laws will be placed before the membership, or a majority vote of the membership can ratify a two-thirds vote of the board of directors to amend the by-laws, provided the member ratification takes place with 60 days of the adoption of the amendment by the board of directors.”
