“The center's board of directors approved new bylaws in june 2024. Significant changes include: --align the stated purpose of the organization with the current activities of gmc and expand stated geographic restrictions to include the neighborhoods of all member organizations and current organizational activities. --clarify how members (all of whom are institutions) appoint their representative to vote on all matters requiring member approval. Provide for directors of the corporation to be voted on by all members, with member organizations nominating individual directors rather than appointing them. --eliminate the distinction between matters requiring the votes of a majority of all members and those requiring the votes of a majority of founding/congregational members for all but a vote to add new founding/congregational members. The vote of a majority of all members is required for: the addition of new organizational members, the selection of directors, and removal of directors. --add new provision which explicitly lays out the actions that members need to approve, including election of directors, changes to the bylaws that affect the rights of members, and the dissolution or sale of any material assets of the corporation. --require director candidates to acknowledge gmc's confidentiality and conflict of interest policies prior to election. The board of directors are responsible for vetting and nomination of new directors, but the directors are elected by the members consistent with the dc code. Adds the option for an additional seat on the board of directors for the spiritual leaders of congregational members with whom gmc has a use of space agreement and where gmc operates programming. --amend language to align with the new procedure of having members elect directors as required by dc code and creates provisions for filling mid-year vacancies. --require the approval of the board of directors for the compensation of any director.”
