“The Form 990 is prepared by staff and reviewed by the independent auditor and senior management. It is then distributed to the Investment Committee of the Board for review. The finalized Form 990 is distributed to the Board for comment prior to filing.”

“At the beginning of the year, July 1, the Executive office (staff liaison) distributes the conflict-of-interest policy to the Board of Directors of the Pro Bono Center and a questionnaire to be completed by each Board member and Key Employee. The completed forms are kept on file in the Executive Office. If a conflict is disclosed, the Board member recuses him/herself from the meeting and the issue is discussed by the remaining Board members during which the issue is resolved, and appropriate action is taken pursuant to the policy. Potential conflicts at the Board level are reviewed by the Board; conflicts at the staff level are reviewed by senior management.”

“The District of the Columbia Bar ("D.C. Bar"), a related Section 115 organization, acts as the payroll agent for the D.C. Bar Pro Bono Center. The D.C. Bar uses the following methods to determine the compensation of the Pro Bono Center's Executive Vice President, Executive Director and key employees, independent compensation consultant, compensation survey/study in 2023, and Form 990 of other comparable organizations. Upon the recommendation of the independent consultant, the D.C. Bar has adopted salary ranges for each position in the organization based on the market environment for comparable peer organizations. These ranges are updated annually based on the recommendation of the compensation consultant. The Board approves the compensation for the Executive Vice President, who also serves as the Chief Executive Officer of the D.C. Bar. The Executive Vice President determines the compensation of the Executive Director and key employees by considering the above factors along with written annual performance appraisals.”

“The organization makes its governing documents, conflict of interest policy and financial statements available upon request.”

“This amendment is being filed to correct a $2 discrepancy between Line 4e on Page 2 and Column B, Line 25 on Page 10. Line 4e correctly reports total program service expenses as $4,132,429, while Column B, Line 25 previously reported $4,132,431. Adjustments were made to Page 10 so that Column B now reflects the correct total of $4,132,429.”

“Outreach Services: In FY24, the Pro Bono Center participated in training sessions for 923 volunteer attorneys to prepare them to undertake pro bono assignments from various District of Columbia legal services providers. The trainings covered a variety of practice areas including bankruptcy, family, landlord-tenant, client-centered lawyering, and public benefits law.”

“In accordance with REV. Proc. 70-6, the D.C. Bar Pro Bono Center has received permission from the IRS to have the D.C. Bar act as its payroll agent. D.C. Bar's IRS Form 941 for the period ending June 30, 2024, shows a total of 206 employees of which 37 worked for the D.C. Bar Pro Bono Center.”
