“The board of directors adopts, and annually renews, a form conflicts of interest policy and each board member annually completes, signs and returns a conflict of interest questionnaire designed to assure compliance with that policy. If a board member has an interest in a proposed transaction in the form of a significant personal financial interest in the transaction or any entity involved in the transaction, or holds a position of trust, including director or officer in any such entity, he or she must make full disclosure of this interest before any discussion or negotiation of the transaction. Thereafter, the board member removes him or herself from the discussion if the board deems it appropriate. Any board member who is aware of a potential conflict of interest with respect to any matter coming before the board or a committee discloses the potential conflict of interest before participating in any discussion or negotiation of any matter implicating such conflict of interest. Thereafter, the board member removes him or herself from the discussion if the board deems it appropriate.”

“The executive committee reviews the president's, vice president's, and department manager's annual compensation, makes comparisons with market, and makes a recommendation to the executive committee of the board. The board approves the annual budget which includes the president's salary. The compensation determination process is included in the board meeting minutes. The last compensation review took place february 2024.”
