Governance Explanations

Form 990, Part VI, Section A, line 4

There were two significant changes made to the organization's bylaws: 1. To separate the chair and ceo roles and to allow the board to designate ceo as ex officio director. 2. To list the ceo position as an officer, reflecting separation of the ceo and chairman roles and reflecting this role separation on resignation and responsibilities of officers.

Form 990, Part VI, Section A, line 7A

Class b directors of the board are designated by the chair- currently, there is one class b director.

Form 990, Part VI, Section B, line 11B

The form 990 is prepared by the ci's finance staff in conjunction with ci's independent accounting firm. The form 990 is reviewed by the audit committee. Before the final form 990 is filed with the irs, it is submitted to each voting member of the board of directors.

Form 990, Part VI, Section B, line 12C

All directors, officers, staff and grantees are required to disclose conflicts of interest to the office of the general counsel. The conflict is entered into a database, and if possible, the general counsel takes steps to mitigate the conflict. Our internal auditors also review conflicts with staff and grantees as part of their standard scope of work.

Form 990, Part VI, Section B, line 15

Ci contracts an independent firm specializing in compensation to conduct an annual review of ci's disqualified person's total compensation packages. The firm uses comparable organizations and positions for the review. The firm's report is reviewed and approved by ci's compensation and management development committee of the board of directors and is relied upon when setting salaries for disqualified persons.

Form 990, Part VI, Section C, line 19

Ci's financial statements are available on ci's website and upon request. Our conflict of interest policy is available upon request or available for inspection at ci's arlington, va office. Governing documents are available when necessary to complete a transaction.

Supplemental Narrative

Additional Explanations

Form 990, Part I, Line 1, Description of Organization Mission:

Conservation international works to ensure a healthy and productive planet for everyone on earth - because people need nature. We work at every level, from remote villages to the offices of presidents and ceos, to help move whole societies to value and account for nature's role in human well-being and to chart a healthier, more sustainable development path. We focus our efforts on three areas: 1. We work to protect our natural wealth: we identify and protect the spectacular but vulnerable places on land and at sea that are especially important to humanity - the places that provide our food, water and the air that we breathe. 2. We foster effective governance: we engage with governments to ensure that leaders have the knowledge and tools they need to sustainably manage their natural wealth for the long-term well-being of their people. 3. We promote sustainable business: we work with companies particularly - those that have large global footprints in industries such as mining, energy and agriculture - to ensure that the production of vital goods and services continues to flow and to support economic growth without undercutting nature's ability to support humanity. Ci's work helps people thrive - particularly the most vulnerable sectors of society, who are often directly reliant on nature for their survival. By demonstrating how and why people need nature, we inspire societies and individuals to be dedicated conservationists. Over time, this can lead to lasting change and ensure an enduring flow of nature's benefits for generations to come. These benefits include climate resilience, food, fresh water and livelihoods, among many others. Founded in 1987, ci is headquartered in the washington, d.c. Area and employs more than 800 staff in 30 countries on six continents. Ci has nearly 1,000 partners around the world.

Financial Statement Notes

Part V, Line 4:

The endowments have been restricted for several different purposes including non-us operations and training new conservationists. All accumulated earnings on the permanent endowment are included in the temporarily restricted endowment percentage and included in the temporarily restricted net assets on our statements.

Part X, Line 2:

Income taxes: CI is exempt from income taxes under Section 501(c)(3) of the IRC. CI is subject to unrelated business income taxes under Section 512 of the IRC; however, in the opinion of management, no provision for income taxes is required to be made. CI follows the accounting standard on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, CI may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The guidance on accounting for uncertainty in income taxes also addresses de-recognition, classification, interest and penalties on income taxes, and accounting in interim periods. Management evaluated CI's tax positions and concluded that CI had taken no uncertain tax positions that require adjustment to the consolidated financial statements to comply with the provisions of this guidance. Generally, CI is no longer subject to income tax examinations by the U.S. federal, state or local tax authorities for years before 2014. The aforementioned field offices are organized as tax-exempt entities in their respective countries, with the exception of CI-Guyana. This field office is organized under the Companies Act of Guyana regulations. Its by-laws prohibit the accumulation or distribution of profits.
