Governance Explanations

Form 990, Part VI, Section A, Line 4

In october 2014, there were three significant changes made to the organization's bylaws: 1) a new category of ex-officio board member was created, which provides for the same authority as an elected voting board member. 2) the responsibility of the president was amended to include programmatic, financial, and administrative operations of the organization. The responsibility of the chief operating officer was amended to eliminate the programmatic function, while adding an emphasis on the officer's operational role. 3) the bylaws were amended to allow for the compensation of the executive vice chair as an ex-officio director.

Class b directors of the board are designated by the chief executive officer. Currently, there is one class b director.

The form 990 is prepared by the ci's finance staff in conjunction with ci's independent accounting firm. The form 990 is reviewed by the audit committee. Before the final form 990 is filed with the irs, it is submitted to each voting member of the board of directors.

All directors, officers, staff and grantees are required to disclose conflicts of interest to the office of the general counsel. The conflict is entered into a database, and if possible, the general counsel takes steps to mitigate the conflict. Our internal auditors also review conflicts with staff and grantees as part of their standard scope of work.

The endowments have been restricted for several different purposes including non-us operations and training new conservationists. All accumulated earnings on the permanent endowment are included in the temporarily restricted endowment percentage and included in the temporarily restricted net assets on our statements.

PART X, LINE 2:

Ci is exempt from income taxes under section 501(c)(3) of the internal revenue code (irc). Ci is subject to unrelated business income taxes under section 512 of the irc; however, in the opinion of management, no provision for income taxes is required to be made. Ci follows the accounting standard on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, ci may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The guidance on accounting for uncertainty in income taxes also addresses de-recognition, classification, interest and penalties on income taxes, and accounting in interim periods. Management evaluated ci's tax positions and concluded that ci had taken no uncertain tax positions that require adjustment to the consolidated financial statements to comply with the provisions of this guidance. Generally, ci is no longer subject to income tax examinations by the u.s. Federal, state or local tax authorities for years before 2012.
