Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee consists of the officers of the epsa, other than the executive director, and one other director elected by the board of directors for a one-year term. The executive director serves as an ex officio member of the executive committee, without voting rights. The executive committee is empowered to act on behalf of the board of directors. The executive committee develops budgets and program plans for approval by the board of directors, approves the appointments of committee chairs by the chair and has such other authority as may be granted from time to time by the board of directors. Actions taken by the executive committee shall be deemed to be approved by the board of directors unless specific objection to such actions is forwarded in writing to the board of directors by any director prior to the conclusion of the next board of directors meeting following any such action.

Form 990, Part VI, Section A, Line 6

Epsa membership categories: board member: any company or entity that is directly involved in the production, sale, or supply of competitive electric power is eligible for membership as a board member of epsa. Associate member: any company or entity that is directly involved in the production, sale or supply of competitive electric power, provided that the company's total revenues are less than $100 million/year, is eligible for associate membership in epsa. Companies meeting these requirements but whose revenues exceed $100 million/year may join epsa as associate members for no more than two years, at which point board level membership will be required. Supporting member: any company or entity primarily involved in supporting the competitive electric power industry, and not primarily involved in the generation of electricity or the marketing of power, and who supports the purposes of the association, is eligible for supporting membership. State & regional partners: any state or regional independent power association is eligible for state & regional partner membership in epsa.

Form 990, Part VI, Section A, Line 7A

Each board member is eligible to appoint one director to serve on the board of directors. Associate members are entitled to elect one representative to the board of directors for each five, or fraction thereof, associate members. Supporting members are entitled to elect one representative to the board of directors for each fifteen or fraction thereof, supporting members. State & regional partners are entitled to elect one representative to the board of directors for this entire class of membership.

A draft is prepared by the outside accountant and is reviewed by the ceo. Once approved, the draft is provided to executive committee for review. Once approved, the form is signed by the ceo and a copy provided to the full voting membership of the board, then filed with the irs.

Members are aware of the policy and are expected to disclose any conflicts. Due to the size of the organization the ceo is able to monitor the activities of the staff by interacting with them and the member companies.

The executive committee reviews the ceo's performance, and with the aid of published salary surveys, determines the ceo's compensation. The committee chairperson then notifies the ceo and the outside accountants via email of the committee's decision. The ceo operates under a written contract. Under a board approved budget, the ceo is authorized to determine compensation for key employees with input from search firms and industry standards.

Financial Statement Notes

PART X, LINE 2:

The association recognizes and measures its unrecognized tax benefits in accordance with fasb asc 740, income taxes. Under this guidance, the association assesses the likelihood, based on their technical merit, that tax positions will be sustained upon examination based on the facts, circumstances and information available at the end of each period. The measurement of unrecognized tax benefits is adjusted when new information is available, or when an event occurs that requires a change. Using this guidance, management believes that the association had no uncertain tax positions that qualified for either recognition or disclosure in the financial statements as of december 31, 2024 and 2023.
