Governance Explanations

Form 990, Part VI

Section a, line 1: the executive committee consists of the officers of far and any chief of staff executive who serves ex-officio and without vote. The executive committee exercises the authority of the board of directors between board meetings provided that the board of directors approves the actions and minutes of the executive committee at its next meeting. Failure of the board to approve executive committee action and/or meeting minutes renders executive committee action null and void. A majortiy of the entire executive committee constitutes a quorum. Meetings of the executive committee are called by the chariman.

Form 990, Page 6, Part VI, Line 3

The organization delegated control over management duties to conference incorporated (ci) from 09/01/24 through 06/01/25. Ci provided a variety of management and support services to the organization. Effective 06/02/25 through 08/31/25, these management duties were transitioned to imn solutions. Donna tschiffely, the founder of ci, serves as the executive director of far.

There are two (2) classes of membership in far: 1) non-profit members: non-profit members are individuals who are employed by a non-profit organization. 2) resource members: resource members are organizations, corporations, or individuals that are for-profit and whose businesses serve or are related to the work of non-profit organizations.

Each non-profit member may cast one (1) vote in all elections and/or other matters brought before the membership. Each resource member may cast only one (1) vote in all elections and/or other matters brought before the memberhip.

Dissolution of the organization requires proper notice to all members and a two-thirds (2/3) vote of all eligible members.

Far's form 990 was prepared by its independent accountants, and then reviewed by its board and outsourced finance manager. A copy of the 990 was provided to the board prior to filing with the irs.

Form 990, Page 6, Part VI, Line 12C

Board members, officers and key employees are required to annually sign a notice of policy and procedures on conflicts of interest. Per far's conflict of interest policy, the person with a conflict will not participate or use any personal or professional influence in the discussion of the subject or make any recommendations regarding the subject. However, the person will briefly state the nature of the conflict and will be expected to answer pertinent questions when the person's knowledge of the subject will assist the board.
