Form 990, Part VI, Section A, Line 6

The organization has 3 classes of members: active members, associate members, and honorary members. Active members shall be limited to persons employed in any professional capacity as security trader or security salesman with a member firm of the national association of securities dealers or an investment institution located within the states of delaware, maryland, and west virginia; the district of columbia; the commonwealth of virginia; and the counties of adams, cumberland, dauphin, franklin, lancaster, lebanon and york in the commonwealth of pennsylvania. Only active members in good standing (as defined in the by-laws) may vote, hold office or be a member of the board of governors of the corporation. Associate members shall be limited to former active members who cease to meet the qualifications for active members but who have been approved as associate members by the board of governors. Honorary members shall be any person designated as such by the board of governors (directors).

Form 990, Part VI, Section A, Line 7A

There shall be a nominating committee consisting of five members, not more than one of who shall be employed by the same organization. The chairperson of the committee shall be the retiring president of the corporation. The board of governors shall appoint four additional members. The committee shall be appointed at least one month prior to the annual meeting. The names of the committee members and its nominees shall be included in the notice calling the annual meeting. Any twenty members of the corporation may, in writing, nominate an additional candidate or candidates for office. Notice of such nominations must be in the hands of the secretary at least three weeks before the annual meeting and shall be communicated to the members as soon thereafter as reasonably possible. Each active member shall be entitled to one vote for each board member to be elected at the annual members meeting, or any other actions to be taken at any annual or special meeting. An active member may cast a vote by proxy.

The by-laws may be amended at any meeting of the organization by a vote of not less than two-thirds of the active members present, provided that written notice of the proposed amendment has been served on the secretary by at least twenty members not less than thirty days before the meeting, and that a copy of the amendment has been sent to the members by the secretary at least ten days previous to the meeting.
