“Ashg has the following membership classes: regular - open to all eligible persons. Trainee - open to postdoctoral fellows, residents, and bona fide students. Early career - open to professionals who have completed training within the last three years. Emeritus - open to all person who have retired from their position or practice who have been regular members for at least 5 years.”

“The membership elects the president-elect and at least one-third of the directors annually, by ballot.”

“The organization requires documentation and minutes taken for all board meetings which are generally held twice per year. Most major decisions and policies are determined at the board meeting, the executive committee, which consists of the president, treasurer, secretary and other board members, meet monthly to carry out the directives of the board. However, there are no minutes kept of the monthly executive committee meeting.”

“The form 900 was prepared by the outside accountants and reviewed internally by the senior director of finance and operations and executive director. The treasurer and finance committee also reviewed the return prior to filling with irs.”

“Each officer, board member, the journal editor, the executive director, and any member acting in any way as the society's designated representative shall file a conflict of interest disclosure statement annually. The disclosure statements filed by officers, board members, the journal editor, and candidates for any of the aforesaid shall be reviewed by the executive director and the president. The disclosure statements filed by the executive director shall be reviewed by the treasurer. Any individual governed by the policy who becomes aware of a possible conflict of interest during his or her tenure in an ashg position shall promptly (within 30 days) disclose the relevant circumstances to the executive director and the president and recuse himself or herself until the matter has been reviewed. Ashg employees are also required to disclose potential conflicts of interest on an annual basis.”

“A compensation committee determines the hiring and compensation of the ashg executive director. The committee reviews regional compensation surveys to determine a completive price range for the position. Compensation and performance are reviewed annually by the executive committee. The last compensation review took place july 2017. For other officers and key employees, regional compensation surveys are reviewed for each position to determine a competitive range for the position. The executive director makes the decision to hire new officers and key employees.”

“In previous years, the organization did not have an audit committee to perform audit oversight procedures. Historically, the treasurer preformed this function. During 2017, the organization formed an audit and finance committee to take over the audit oversight function, with review and acceptance by the full board.”
