Governance Explanations

Form 990, Part VI, Section A, Line 6

The organization has approximately 350 families who pay an annual fee of $50 to join pep. This is primarily a method of providing financial support for the organization as well as maintaining a connection to the positive parenting mission and goals of pep. Members receive a discount of ten percent (10%) on parenting class fees and books sold in the bookstore. There are regularly scheduled parenting support sessions for members only.

The organization has approximately 350 families who are eligible to elect the officers and the directors of the board of directors.

Form 990, Part VI, Section B, Line 11

The 990 was prepared by outside accountants and reviewed by pep's executive director, operations director and pep's executive committee of the board of directors, who then forwarded the 990 via email to all pep board members for further review and comments.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is reviewed with new board members during board orientation, and the president reminds board members of their responsibility to disclose potential conflicts. When a board member is aware of a potential conflict in connection with a matter being discussed, that board member has an obligation to announce the potential conflict and recuse him or herself from voting on the matter. If such a potential conflict appears to exist but the board member has not announced it, another board member raises the matter with the chair of the meeting, and the chair inquires into the facts of the potential conflict and determines whether recusal is necessary and appropriate. The same conflict of interest policy applies to employees.

Form 990, Part VI, Section B, Line 15

In 2015, all employee salaries were compared to market rates of nonprofit salaries in maryland as reported in the study maryland nonprofits - 2014 salary survey. Most employees' salaries were found to be between the 25% to 50% percentiles of the maryland nonprofit salary market for their position, and those employees received a cost of living adjustment for the year (except for the executive director, whose salary was unchanged from the previous year). The remaining employees' salaries were found to be below the 25% percentile mark, and those employees received a salary increase to bring their salaries up to the 25% mark. As part of its annual budget review process, the executive committee of the board of directors was presented with a detailed overview of all of the salary increases in april 2015, which was also presented to the full board in may 2015. This process was documented in the board minutes. The date of the last salary review was april 2015.

Pep makes its audited and interim financial statements, conflict of interest policy, and governing documents available upon request. Review of the documents is free in our offices during normal office hours, or by appointment, or can be copied, mailed or emailed for the cost of copying and postage.

FORM 990, PART VII, SECTION A:

Some of pep's board members also serve as part of the pep's corps of certified parent educators who lead pep's parenting classes (which is unrelated to their service as board members). All pep parent educators are offered a small stipend, based on the number of classes they teach, to cover costs such as transportation, child care and other out-of-pocket expenses.

Financial Statement Notes

PART V, LINE 4:

Contributions received, that were restricted by the donors, are to be invested in-perpetuity. Interest earned on the invested balance is to be used to support scholarships for parents to attend pep's classes and programs.

PART X, LINE 2:

For the year ended june 30, 2015, pep has documented its consideration of fasb asc 740-10, income taxes, that provides guidance for reporting uncertainty in income taxes and has determined that no material uncertain tax positions qualify for either recognition or disclosure in the financial statements. The federal form 990, return of organization exempt from income tax, is subject to examination by the internal revenue service, generally for three years after it is filed.

BY HELPING ADULTS DEAL CONSTRUCTIVELY WITH YOUNG PEOPLE, WE EMPOWER THE NEXT GENERATION TO MAKE POSITIVE CONTRIBUTIONS TO THEIR FAMILIES, THEIR COMMUNITIES, AND THE WORLD AT LARGE. SINCE 1982, PEP HAS HELPED OVER 32,000 PARENTS TEACH THEIR CHILDREN THE SOCIAL, EMOTIONAL AND BEHAVIORAL SKILLS THEY NEED TO THRIVE AT HOME, AT SCHOOL, AND IN THEIR COMMUNITIES.
