Mission

Machc supports delaware and maryland community health centers to provide access to high-qualify, affordable, and community-responsive care to those most in need. Machc does this through training and techncial assistance, policy analysis, and advocacy.

The organization's purpose is to foster development of community-based systems of care throughout maryland and delaware, through resource development, advocacy, and community education.

The 990 as well as the audit is provided to the board of directors on an annual basis. A draft of the form 990 is reviewed by an authorized member of the board of directors prior to filing with the irs. Our baord of directors is made up of all of the member federally qualified health centers in maryland and delaware.

Form 990, Part VI, Section B, Line 12C

On an annual basis, the board reviews the by-laws and included within the by-laws is the conflict of interest policy. The team members that work at machc review the conflict of interest policy that is specific to employees of machc. Additionally, the organization monitors and enforces compliance with the conflict of interest relative to our voting process. On any item voted on by the full board,executive committee or sub-committees of the board, we reference the conflict of interest policy, and persons persons that believe a conflict of interest exists must state the potential conflict to the group. If it is presumed to be a conflict of interest that is direct, the person is restricted from voting on the matter. If the conflict is not removed by abstention of their vote, the group will determine if the person may have an interested director's transaction or any additional type of conflict. If so, the board will not forward with the proposal due to the conflict of interest. This is continuously monitored and enforced as needed.

Form 990, Part VI, Section B, Line 15

Board utilizes a standard process for determining compensation of employees. We perform a salary review of the desired position by looking at local employment statistics. We provide a salary range for each position and it is commensurated with an employee's education, training, and years of experience. Performance of each employee with the exception of the ceo, is evaluated annually utilizing a performance appraisal process that has criteria consisting of ten domains. The performance appraisal process of the ceo consists of a discussion between ceo and coo. Additionally, with respect to the ceo, a salary comparison of similar positions is performed by the board of directors. The board then utilizes certain criteria to determine the appropriate salary for the position. Establishment of benchmarks and targets are then identified by the board and, based on performance, a raise structure is determined.

Under the provisions of section 501(c)(3) of the internal revenue code, the association is exempt from federal taxes on income except for unrelated business income, if any.

Part X Line 2

Fin 48 under the provisions of section 501(c)(3) of the internal revnue code, the association is exempt from federal taxes on income except for unrelated business income, if any. The association has adopted fasb asc-740-10-25, accounting for uncertainty in income taxes. The association wil record a liability for uncertain positions when it is more likely than not that a tax position would not be sustained if examined by the taxing authority. The association continually evaluates expiring statutes of limitations, audits, proposed settlements, changes in tax law and new authoritative rulings. The association's evaluation on march 31, 2015 revealed no uncertain tax positions that would have a material impact on the financial statements. The 2011 through 2013 tax years remain subject to examination by the irs. The association does not believe that any reasonably possible changes will occur within the next twelve (12) months that will have a material impact on the financial statements.
