“The Association has an Executive Committee which consists of the Chairman, Vice Chairmen, and six members, each of whom shall be representative of one of the six regions defined in Article VI of the Bylaws, and up to six members at large. In addition, past Chairmen of the Association, if continuing as full-time executives of member companies, may be elected members, ex officio, of the Executive Committee. The Executive Committee shall have and may exercise all of the powers of the Board of Directors between the meetings of the Board.”
