“The conflict of interest policy is reviewed annually by all board members at a foundation board meeting. The executive committee determines whether a conflict exists. All members are required to review the written policy and acknowledge compliance in writing. Records of such acknowledgement are maintained by the foundation. If a conflict arises, the conflicted board member will recuse themselves from voting on the matter. The conflict of interest policy applies to all board members.”
