“Each member of the board and each employee who has responsibility pertaining to actions or transactions by round house theatre (rht) that may involve a financial interest or other interest completes a conflict of interest affirmation ("affirmation") as circumstances warrant as determined by the board, but no less frequently than annually. In connection with any actual or possible conflict of interest, an interested person discloses the existence of the financial or other interest and is given the opportunity to disclose all material facts to the disinterested members of the executive committee or of the board. Disinterested members of the executive committee or of the board review each interested person's affirmation and any other disclosures regarding the financial interest or other interest of the interested person. After disclosure of the financial or other interest, the interested person leaves the meeting while the disinterested members of the executive committee or of the board discuss and vote on whether a conflict of interest exists. After exercising due diligence, the disinterested members of the executive committee or board determine whether rht can obtain with reasonable effort a more advantageous transaction or arrangement from a person or entity that would not produce a conflict of interest. If it has determined that a more advantageous alternative transaction or arrangement is not reasonably feasible, the executive committee or board determines by a majority vote of the disinterested members whether the transaction or arrangement is in the best interest of rht, for its own benefit, and fair and reasonable. Based on these determinations, the disinterested members of the executive committee or board decide whether to enter into the transaction or arrangement.”

“Compensation of the artistic director and managing director was reviewed by the board of directors. The board reviewed compensation at comparable entities. The deliberation and decision of the board was documented in the meeting minutes. The last compensation review took place in june 2025. The artistic director and managing director, in consultation with the board, determine other staff compensation.”
