Each director, principal officer and member of a committee with board-delegated powers shall annually sign a statement which affirms that such person: (a) has received a copy of this policy; (b) has read and understands this policy; (c) has agreed to comply with this policy; and (d) understands that visit baltimore is a tax-exempt organization and that in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. In connection with any actual or possible conflicts of interest, an interested person must disclose the existence and nature of his or her financial interest to the board and members of committees with board-delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest, the interested person shall leave the board or committee meeting while the financial interest is discussed and voted upon. The remaining board or committee members shall decide if an actual conflict of interest exists.

Financial Statement Notes

PART X, LINE 2:

The organization follows the accounting standard on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this policy, the organization may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position would be sustained on examination by taxing authorities, based on the technical merits of the position. Management has evaluated the organization's tax positions and has concluded that the organization has taken no uncertain tax positions that require adjustment to the financial statements to comply with provisions of this guidance. The organization is no longer subject to income tax examinations for the u.s. Federal, state or local tax authorities for years before june 30, 2016.
