“Over the past year amwa's members and the board have considered and approved a series of amendments to modernize the association's bylaws. These revisions have addressed membership eligibility, the handling of delinquent dues payments, and service on the board of directors. Earlier this year the executive committee identified two final provisions of the bylaws that the board has an opportunity to revise to ensure optimal operations. These changes relate to the process of holding board elections, and creating a role on the board for term-limited directors. An additional change is proposed to clarify that a board seat becomes vacant when a director is no longer the designated representative of a member utility.”

“Members of the organization have approval rights for major decisions of the governing body.”

“The board of directors does not review the form 990. However, they do approve the financial statement audit. The chief executive officer reviewed the form 990 before it is filed.”

“The compensation committee of the board of directors reviews the chief executive officer's salary level each year determines the salary and certain performance standards for the chief executive officer to achieve. An employment contract is drafted and the executive committee recommends it to the board of directors. The chief executive officer and the board president sign the employment contract. The board also approves the annual budget, including the overall salary amounts for the year. The most recent review of compensation took place in october 2024.”

“The association of metropolitan water agencies (amwa) serves as the management company for the water information sharing & analysis center (waterisac) and is also its sole member. Waterisac pays amwa a monthly management fee to cover expenses incurred by amwa on waterisac's behalf. This fee includes allocations for salaries, fringe benefits, telephone, and rent expenses.”
