Governance Explanations

Form 990, Part VI, Section A, Line 7A

The trustees shall be selected and appointed by the board of directors of the national fire protection association (hereinafter "nfpa"). Trustees shall be appointed for terms of up to three years and may be appointed to no more than two consecutive three year terms. The chair of the board of nfpa shall serve as a trustee during his or her tenure as chair. Any trustee may be removed, with or without cause, upon consent of a majority of the board of directors of nfpa.

Form 990, Part VI, Section B, Line 11B

Once the returns are completed they are reviewed at least twice by the cfo and the accounting staff of nfpa. The return is then sent to our tax firm for final review and comments. After the final reveiw and all the changes have been completed and accepted, the return is then presented to the board of trustees.

Form 990, Part VI, Section B, Line 12C

Each officer, director, and trustee and key employee has an ongoing duty to disclose any conflicts of interest or possible conflicts of interest to the general counsel or president of nfpa. In addition, each key employee shall file an annual disclosure statement including a questionnaire which shall be provided by the company. The executive director shall take action as he or she considers appropriate regarding managing conflicts of interest and handling any possible violation or infringement of the conflict of interest policy.

Form 990, Part VI, Section B, Line 15A

The executive director's compensation is determined by the president of nfpa within the nfpa salary range. The salary ranges are approved by an independent nfpa compensation committee. (15b) there are no other officers or key employees of the fire protection research foundation.

The fire protection research foundation is a related organization to the national fire protection association. The foundation makes their documents public upon request.

Financial Statement Notes

PART X, LINE 2:

Uncertain tax positions the foundation accounts for the effect of any uncertain tax positions based on a "more likely than not" threshold to the recognition of the tax positions being sustained based on the technical merits of the position under scrutiny by the applicable taxing authority. If a tax position or positions are deemed to result in uncertainties of those positions, the unrecognized tax benefit is estimated based on a "cumulative probability assessment" that aggregates the estimated tax liability for all uncertain tax positions. Interest and penalties assessed, if any, are accrued as income tax expense. The foundation has identified its tax status as a tax exempt entity as a tax position; however, the foundation has determined that such tax position does not result in an uncertainty requiring recognition. The foundation is not currently under examination by any taxing jurisdiction. Its federal and state income tax returns are generally open for examination for three years following the date filed. Part v, line 4: at all times the endowment fund shall be used exclusively for the accomplishments and support of charitable, educational, scientific and literary purpose.
