Governance Explanations

The organization's form 990 is reviewed by the cfo prior to filing. Once the cfo is satisfied, the full board of directors receives the form 990 for review in advance of the return being filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Each year, all members of the board of trustees are required to complete a conflict of interest statement. The policy covers families and business relationships as potential sources of conflict. After the statements are turned in, they are reviewed by the president/ceo. Board members shall not vote on any resolution or motion regarding matters where an actual or potential financial interest or conflict of interest exists. The proceedings where conflicts or the appearance of conflicts were discussed, including the actions taken, the terms of any matter approved, the names of the directors present and how they voted, the comparability data relied on by the board, and any actions taken by a person having a conflict of interest are recorded in the board minutes.

Form 990, Part VI, Section B, Line 15

Compensation for the ceo is determined by the board of directors at the ceo's annual review. The compensation is based on performance, comparable regional salaries, the national association of community health centers' most recent health center salary & benefits report, and the fiscal health of the organization. These factors are all considered when ensuring that the ceo's compensation falls within fair market range for the industry. Compensation of key employees is determined by the ceo and reported to the board. The ceo uses the same resources, in addition to recommendations from the cfo and hr and development directors.

SERVICES ARE DELIVERED ACROSS FOUR CLINIC LOCATIONS STRATEGICALLY PLACED WITHIN THE SERVICE AREA TO MAXIMIZE ACCESS TO CARE. WITHIN THIS PAST YEAR, THE HEALTH CENTER HAS SEEN GROWTH IN THE OVERALL NUMBER OF PATIENTS SERVED AND CONTINUES TO IMPROVE OUTCOMES FOR PATIENTS WITH HYPERTENSION, DIABETES, AND IN ACHIEVING BEST PRACTICE ANNUAL WELL CARE SUCH AS CANCER SCREENINGS. 7,671 PATIENTS WERE SEEN LAST YEAR.
