“Material differences in voting rights: the president shall have no vote except in the case of a tie. Board delegated authority: the executive committee is comprised of the officers (president, first vice president, second vice president, secretary, associate secretary, treasurer, associate treasurer), the two representatives to the broadmead board of trustees, the cluster coordinator and the activities coordinator. The executive committee shall have and may exercise all the powers and duties of the board of directors between meetings of the board in carrying out the necessary business of bra. Any decisions or actions taken by the executive committee shall be approved or disapproved by the board at the next regular meeting.”

“David harley, president, and diana harley, board member, have a family relationship.”

“The bylaws were amended during the fiscal year. One change was deemed significant based on the internal revenue service instructions for purposes of this disclosure: 1. Officers and members of the nominating committee are not permitted to serve more than two consecutive terms. The treasurer, the associate treasurer, the secretary, and the associate secretary may serve more than two consecutive terms, with the consent of the executive committee and if elected at the annual meeting for each additional term. Previously these were general guidelines but were not formal requirements.”

“The residents of broadmead are the only members of bra.”

“The members annually elect all the board of directors as noted below. The board of directors is comprised of: 1. The officers, elected annually by the membership. 2. One activities coordinator, elected annually by the membership. 3. One cluster coordinator, elected annually by the membership. 4. Two representatives to the broadmead board of trustees, elected annually by the members. 5. One representative from each cluster. Bra members live in clusters, each cluster is entitled to one board representative, who is elected annually by the members of the cluster being represented. 6. One resident representative from each level of care at broadmead (assisted living and comprehensive care). If no representative is available for election from the assisted living and/or comprehensive care residents, the position(s) shall be filled by appointment made jointly by the chair of the health care committee and the bra cluster coordinator. Any appointments are still required to be from bra members, but not necessarily from residents of these units.”

“Any and all provisions of the governing documents may only be amended or repealed by the members.”

“The form 990 was prepared by an independent accounting firm and then reviewed by the finance committee, then by the executive committee, and then a final review is conducted by the entire board of directors prior to filing with the internal revenue service.”

“The organization's governing documents are made available to the public upon request. The organization does not issue formal financial statements and at this time does not have a written conflict of interest policy.”
