Form 990, Page 6, Part VI, Line 4

By-laws of carroll county food sunday, inc. Was revised and published on march 14, 2024. A summary of the changes are as follows: 1) the executive committee shall consist of the president, vice president; secretary; treasurer; chairpersons of all standing committees, any additional members as may be determined necessary; executive director (non-voting); and food bank manager (non-voting). The immediate past president shall remain a member of the executive committee for one year following the conclusion of his/her/their term as president. 2) term limits were implemented noting that directors shall be elected to a three year term and that directors may serve two consecutive three year terms if reelected. After having served two consecutive three year terms, directors may be re-elected after having rotated off the board for a period of one year. 3) the board shall have the following regular standing committees: executive committee, finance committee, development and marketing committee, and governing and nominating committee. 4) the food bank manager and executive director positions were changed from voting members of the board to non-voting members of the board.

THE ORGANIZATION RECEIVED 138,040 POUNDS OF DONATED FOOD AND PURCHASED 292,692 POUNDS. VOLUNTEERS GAVE OVER 8,830 HOURS OF TIME AT THE ORGANIZATION'S THREE SITES IN WESTMINSTER, ELDERSBURG, AND TANEYTOWN.

A SUMMARY OF THE CHANGES ARE AS FOLLOWS: 1) THE EXECUTIVE COMMITTEE SHALL CONSIST OF THE PRESIDENT, VICE PRESIDENT; SECRETARY; TREASURER; CHAIRPERSONS OF ALL STANDING COMMITTEES, ANY ADDITIONAL MEMBERS AS MAY BE DETERMINED NECESSARY; EXECUTIVE DIRECTOR (NON-VOTING); AND FOOD BANK MANAGER (NON-VOTING). THE IMMEDIATE PAST PRESIDENT SHALL REMAIN A MEMBER OF THE EXECUTIVE COMMITTEE FOR ONE YEAR FOLLOWING THE CONCLUSION OF HIS/HER/THEIR TERM AS PRESIDENT. 2) TERM LIMITS WERE IMPLEMENTED NOTING THAT DIRECTORS SHALL BE ELECTED TO A THREE YEAR TERM AND THAT DIRECTORS MAY SERVE TWO CONSECUTIVE THREE YEAR TERMS IF REELECTED. AFTER HAVING SERVED TWO CONSECUTIVE THREE YEAR TERMS, DIRECTORS MAY BE RE-ELECTED AFTER HAVING ROTATED OFF THE BOARD FOR A PERIOD OF ONE YEAR. 3) THE BOARD SHALL HAVE THE FOLLOWING REGULAR STANDING COMMITTEES: EXECUTIVE COMMITTEE, FINANCE COMMITTEE, DEVELOPMENT AND MARKETING COMMITTEE, AND GOVERNING AND NOMINATING COMMITTEE. 4) THE FOOD BANK MANAGER AND EXECUTIVE DIRECTOR POSITIONS WERE CHANGED FROM VOTING MEMBERS OF THE BOARD TO NON-VOTING MEMBERS OF THE BOARD.
