Enterprise is the only national nonprofit that addresses america's affordable housing crisis for low and moderate income people from every angle, combining 40+ years of experience, thousands of local partners and the expertise of over 1,421 employees nationwide including our affiliated organizations. We bring together nationwide know-how, policy leadership, partners, donors and investors to multiply the impact of local affordable housing development and to achieve our vision of a country where home and community are stepping stones to more.

An annual conflict of interest disclosure exercise is performed by enterprise community investment, inc. Every year. Officers, directors, and key employees are required to acknowlege the conflict of interest policy and to complete a confict of interest disclosure form. The chief legal officer reviews all disclosure forms from the board of directors, officers and key employees and any potential conflict of interests are referred to the board or appropriate committee of enterprise community investment's parent board of trustees for review. Additionally, all staff are required to complete an annual conflict of interest disclosure form. The exercise requires each employee to read the business ethics policy and complete the conflict of interest disclosure to identify any possible conflicts known. New employees are also required to complete this conflict of interest disclosure form upon hiring. The chief legal officers reviews the individual disclosure document contents and follows up on any concerns with employees.

The process for determining compensation for the president of enterprise community investment, inc. Is as follows. The hr and compensation committee of eci's parent reviews the president of eci's compensation for reasonableness and makes a recommendation to the eci board who then reviews and approves the president's compensation. The work of the hr and compensation committee is informed by an independent consulting firm with subject matter expertise in compensation. The compensation of the remaining officers listed above is approved by the president of eci following review for reasonableness by the human resources department and the independent consulting form. The process for determining compensation for officers of eci who receive their compensation from a related organization is as follows. An independent consulting firm with subject matter expertise in compensation is engaged to provide a compensation study to establish a market value. The human resources and compensation committee of the enterprise community investment's parent's board meets with the independent consulting firm and recommends the compensation of the ceo which is approved by the board of enterprise community partners. The hr and compensation committee approves of the organization's compensation philosophy which the ceo uses to set the compensation for other officers. The reasonableness of the compensation of these officers is reviewed by the human resources department and the independent compensation consultant. This process is documented in the committee and board meeting minutes.

Financial Statement Notes

PART IV, LINE 2B:

Funds held for others are property collateral and operating reserves. Property collateral is held to secure construction bonds and letters of credit that are required in connection with the development of certain affordable housing properties, while the operating reserves are attributable to agreements that provide for funding of agreed-upon operating expenditures relating to real estate properties.

PART X, LINE 2:

As enterprise community investment, inc. ("eci") does not conduct a separate audit of its financial statements, below is the income tax footnote included in the consolidated financial statements, which include eci and its related for-profit and not-for-profit organizations. We are recognized as a 501(c)(4) social welfare organization and are exempt from income taxes with respect to our charitable activities. Certain of our subsidiaries and affiliates are also tax-exempt organizations. Neither enterprise nor its tax-exempt subsidiaries and affiliates had unrelated business income during the year ended december 31, 2024. However, for the year ended december 31, 2023, ecd recognized unrelated business income taxes upon filing of their 2023 tax returns. The tax arose from a distribution from an entity that made an election under internal revenue code section 168(h), resulting in unrelated business income tax of $0.3 million. As a result, a provision-to-return adjustment was recorded in the accompanying consolidated statements of activities for the year ended december 31, 2024. There are no other tax positions which must be considered for disclosure. In addition, we are liable for federal and state income taxes with respect to our mortgage, lihtc asset management, opportunity zone federal tax incentive, and our nontax credit affordable housing investment fund activities. In addition, certain of our subsidiaries that act as the general partners of affordable housing properties have made internal revenue code section 168(h) elections, which causes them to be treated as taxable corporations. Ecd is also subject to the washington, dc unincorporated business franchise tax ("ubt"), which applies to unincorporated businesses operating in the district of columbia. The provision for or benefit from income taxes has been recorded on the accompanying consolidated financial statements. We use the asset and liability method to record deferred income taxes. Under this method, assets and liabilities are recognized for the future tax attributable to differences between the financial statement carrying amounts and their respective tax basis. Deferred tax assets and liabilities are measured using enacted tax rates expected to apply in the years in which those temporary differences are expected to be recovered or settled. The effect on deferred tax assets and liabilities of a change in tax rate is recognized in the period that includes the enactment date. We only recognize deferred tax assets to the extent that it is more likely than not that they will be realized based on consideration of available evidence, including tax planning strategies and other factors. We recognize the financial statement impact of a tax position when it is more-likely-than-not that the position will be sustained upon examination. If the more-likely-than-not threshold is met, the tax position is to be measured at the largest amount of the benefit that is greater than 50% likely of being realized upon ultimate settlement. Income tax returns are subject to examination by the internal revenue service for a period of three years from the date of filing. While none of our income tax returns are currently being examined by the internal revenue service, tax years since 2021 remain open for examination. Uncertain tax positions we conduct business throughout the united states and, as a result, we file income tax returns in federal and various state jurisdictions. Although there are currently no ongoing examinations by state jurisdictions, the statute of limitations has not yet expired on several of our tax filings. We also remain subject to examination of all of our federal income tax returns for 2021 and subsequent years. We also generally remain subject to the examination of our various state income tax returns for a period of four to five years from the date the return was filed.
