Governance Explanations

Form 990, Part VI, Section B, Line 11B

A copy of the form 990 was emailed to the entire board for review and approval prior to filing. The form 990 was also presented to the executive committee of the board.

Form 990, Part VI, Section B, Line 12C

Each year every board member signs a conflict of interest statement stating they have no conflicts of interest relating to issues subject to board action and approval. In addition, any payments to any external party related to a board member is disclosed to the entire board. For example, a payment to an electrical utility where a board member is employed, bank fees paid to a bank where a board member is employed, etc. If a conflict is perceived that a board member does not believe is a conflict, it would be discussed by the executive committee, and if necessary, it might choose to require the board member to recuse him/herself from any discussion or board action. Issues related to any potential conflict of interest at the staff level are covered in the museum's personnel policy.

Form 990, Part VI, Section B, Line 15

The executive and deputy director's compensation is determined by the executive committee of the board of trustees and is based on the salaries of similar non-profit institutions' executive directors. There are no other officers or key employees in the organization.

Form 990, Part VI, Section C, Line 19

The organization's governing documents, conflicts of interest policy, and financial statements are available to the public upon request.
