“The following are eligible to be voting members of the harvard club: (a) any person who has a degree from harvard university or any subdivision thereof; (b) any person who has registered and taken part for at least six weeks in any academic program offered by harvard university or any subdivision thereof; and (c) any person who has completed at least one academic year as a professor, researcher, instructor, or officer of harvard university or any subdivision thereof.”

“Interested person: any director, officer, staff member, or member of a committee with board-delegated powers, who has a direct or indirect financial interest, as defined below, is an interested person. For purposes of this policy, only the principal staff and chairpersons of the schools and scholarship committee shall be considered each separately as an interested person and any other member of that committee shall not be considered an interested person due to the service on the committee. Duty to disclose: in connection with any conflicts of interest related to a proposed transaction or arrangement, including when the matter involved raises the appearance of a conflict, an interested person must disclose the existence and nature of his or her financial interest to the chairperson of the board or, in connection with committee business, to the chairperson of committees with board-delegated powers. Additionally, it is the official policy of the organization that any interested person, who is involved with the negotiation and consideration of a proposed transaction or arrangement for the organization, which would confer compensation or other benefit to a relative, neighbor, friend or professional colleague, must disclose this private interest to the chairperson of the board, or committee as a conflict of interest. Notwithstanding the foregoing, routine vendor purchases made by the organization from an entity in which an interested person has a financial interest are not deemed conflicts and need not be disclosed. Determining whether a conflict of interest exists: after disclosure of the financial or private interest, the interested person shall leave the board or committee meeting and shall not be present at any time when the financial interest is discussed and when a vote on the matter is taken. Violations of the conflicts of interest policy: a. If the board or committee has reasonable cause to believe that an interested person has failed to disclose any conflicts of interest, or has not disclosed actions that otherwise raise the appearance of a conflict, the chairperson of the board or committee shall inform the interested person of the basis for such belief and afford the interested person an opportunity to explain the alleged failure to disclose. The chairperson shall be obligated to discuss this matter with the board or committee except when there is clear and unequivocal information that no conflict issue is involved after the interested person has explained the situation. B. If, after hearing the response of the interested person and making such further investigation as may be warranted in the circumstances, the board or committee determines that the interested person has in fact failed to disclose a conflict of interest, or has not disclosed actions that raise the appearance of a conflict, it shall take appropriate disciplinary and corrective action. If the matter rises to the level of being considered a dereliction of duty by a director or committee member and it is agreed by the board or committee that such dereliction of duty occurred, then the expected course of disciplinary and corrective action shall be removal from the board or committee as the case may be unless the individual tenders a resignation letter. Any disciplinary or corrective action by a committee shall be disclosed to, and ratified by, the board.”
