Governance Explanations

JRSA has three classes of membership: student, individual and institutional.

Form 990, Part VI, Section A, line 7A

Members elect the governing body. Each member in good standing of the Association has voting and office-holding privileges. Student, individual and non-SAC institutional members each have one vote. Institutional members recognized by the Bureau of Justice Statistics as a Statistical Analysis Center (SAC) are accorded five votes which may be cast by the SAC Director alone or distributed among up to four staff members in addition to the SAC Director. Those to whom voting rights are distributed are eligible to hold elective office.

Form 990, Part VI, Section A, line 7B

The by-laws and/or the Articles of Incorporation may be amended by two-thirds (2/3) vote of the members present at a meeting of the Association, provided that the subject of the proposed amendment(s) has been disseminated to all members of the Association, in writing, at least 30 days prior to the meeting at which a vote concerning the amendments shall be taken.

Form 990, Part VI, Section B, line 11B

The Form 990 is prepared by an independent public accounting firm. The draft form prepared by the accounting firm is reviewed first by the Director of Finance and Administration. Her edits, if any, are incorporated into the form which is then ready for filing. The review by Management occurs before the return is filed.

The Executive Committee members complete conflict of interest forms annually. The forms are reviewed by the Director of Finance and Administration and the Executive Director for compliance with the conflict of interest policy.

Compensation of the Executive Director is evaluated and approved annually by the Executive Committee. The Executive Committee obtains comparable salary data for the Executive Director and other key employees from relevant publications such as the ASAE (American Society of Association Executives) Executive Compensation report.
