“Explanation: The organization has four classes of members:-Sustaining company membership (includes seat on EFTA board of directors)for companies with revenue greater than $100M;-Sustaining company membership (includes seat on EFTA board of directors) for companies with less than $100M in revenue;-Associated individual membership (includes membership in one council);-Government”

“Explanation: At each annual meeting, the directors (without reference to the chairman of the board, the president, the directors nominated by sustaining members or the council chairmen of the councils of the association)shall be elected for a term of one (1) year. Each council shall also be entitled to designante one of its members to be elected as director if the chairman of such council is already a director. Any director may stand for re-election. Each director nominated by a sustaining member, unless found unacceptable by the board, shall be elected promptly to the board by the board and shall serve until his or her sucessor shall be nominated by such sustaining member and elected as provided herein. The duly elected chairman of each council shall, unless found unacceptable by the bord, automatically become a director, ex officio, during his or her term of office. The president shall automatically become a voting director, ex officio.”
