Governance Explanations

Form 990, Part VI, Section A, line 1A

The Executive Committee of the Board of Governors consists of the Chair, the Chair-Elect, the Immediate Past Chair, the Secretary-Treasurer, and the Association's CEO, who shall be a non-voting, ex officio member of the Committee. In the intervals between meetings of the Board of Governors, the Executive Committee has all of the powers of the Board in the supervision and direction of the business and affairs of the Association other than the power to remove a Governor or Officer, or to amend the Bylaws or the Articles of Incorporation.

Form 990, Part VI, Section A, line 6

The Organization has three classes of membership: (1) Individuals who are involved or interested in the banking of tissues for transplantation, or the donation and use of non-transplant anatomical material for education and research, and who support the objectives, policies and standards of the Association ("Individual Member"); (2) Individuals who are employees of AATB-accredited entities that engage in a tissue banking program for the donation or use of donated tissue for transplantation, or non-transplant anatomical material for education and research, including one or more of the following activities - donor screening or acceptability; donor testing; recovery, collection or acquisition; processing or preparation; storage and/or distribution - in accordance with the objectives, rules, policies, standards and codes, including without limitation the ethical standards and codes, of the Association, and that have been accredited by AATB. Such members shall be considered "Individual Members" with the same privileges and obligations as any other Individual Member. (3) Individual Members who are retired; have reached the age of sixty-five (65) years, and whose years of membership in AATB in good standing, plus their age, equal or exceed the number seventy-five (75); and have requested the Membership Committee grant Emeritus Membership ("Emeritus Member"). In addition, after five (5) years of membership in good standing, Individual Members who are disabled, to the extent that they are unable to engage in gainful employment, may request Emeritus Member status; and (4) Individuals and entities, including vendors, exhibitors, suppliers, distributors, group purchasing organizations and others who support the professional, operational and educational needs of tissue banking programs or non-anatomical donation/use programs, Individual Members, AATB-Accredited Institutions, and the Association ("Affiliate Member"). Such Affiliate Members may not be any entity that is eligible for accreditation by AATB.

Rights of members: (a) individual members in good standing have the right to vote and approve members of the board. (b) institutional members in good standing have the right: 1) to receive publications; 2) to assign a representative to vote at meetings of the Accredited Tissue Bank Council (ATB Council). (c) emeritus members have the right: 1) to attend and participate in AATB meetings and 2) such other rights as may from time to time be granted by the Board of Governors. (d) individual or institutional members who are not in good standing are not entitled to exercise any of the rights or benefits of membership. (e) members, unless expressly authorized to do so, do not have the right to speak on behalf of AATB.

Form 990, Part VI, Section B, line 11B

The Federal Form 990 was prepared for AATB at the time of the annual audit by the independent accounting firm hired to perform the audit. Once completed, the draft Federal Form 990 is submitted to and reviewed by the President & Chief Executive Officer (CEO) and to outsourced accounting for accuracy. Once reviewed, the draft Federal Form 990 is submitted to the Finance Committee for review and recommendation to the Board of Governors. The Board of Governors conducts its review, which is recorded in the minutes of the board's meeting. Thereafter, the final federal form 990 is approved by the President & CEO on behalf of AATB and sent to the full board and then electronically filed with the Internal Revenue Service in a timely manner.

Form 990, Part VI, Section B, line 12C

All Board of Governors, Council and Committee members, employees, and officers are required to sign conflict of interest statements annually. In addition, all speakers at every meeting must sign conflict of interest statements and disclose conflicts before their remarks, and these are overseen by the Program Committees and the Chief Administrative Officer. As soon as a potential conflict of interest is discovered, or in any situation as to which an individual may be in doubt as to the existence of a potential conflict of interest, full disclosure must be promptly made to AATB's President/ CEO or Compliance Officer, within no more than 15 calendar days of discovery or identification of the potential conflict, so as to permit an impartial and objective determination to be made by AATB of whether a real or potential conflict of interest exists. If a conflict or potential conflict is deemed by the President/ CEO or the Compliance Officer to exist, the individual to whom the conflict relates is required, among other things, to refrain from participating in discussion and decision-making in regard to the matter. The individual also may be subject to restriction of job responsibilities or removal from office, in accordance with any applicable bylaw provisions, unless the conflict or potential conflict can be appropriately managed or resolved. The minutes of the meeting should contain the names of the persons who disclosed or otherwise were found to have a financial interest in connection with an actual or possible conflict of interest, the nature of the financial interest, any action taken to determine whether a conflict of interest was present, and the BoG's or Compliance Committee's decision as to whether a conflict of interest in fact existed; and the names of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection therewith. If the BoG, President/ CEO or Compliance Officer has reasonable cause to believe that an individual has failed to disclose an actual or possible conflict of interest, he/she informs the individual of the basis for such belief and afford the individual an opportunity to explain the alleged failure to disclose. If, after considering the response of the individual and making further investigations as may be warranted in the circumstances, the President/ CEO and Compliance Officer determine that the individual has in fact failed to disclose an actual or possible conflict of interest, the Compliance Committee and/or the BoG will take appropriate corrective and/or disciplinary action, including up to possible termination.

Form 990, Part VI, Section B, line 15A

The Board of Governors Compensation Committee determines the compensation for the President & CEO based on an independent analysis that reviews relevant salary surveys and comparable positions. The salary decisions of the Compensation Committee are documented in the employee's permanent file. The analysis for the President & CEO is done periodically by the Compensation Committee, while the analysis for the compensation for all other employees was last performed in April 2023 and subsequently when new positions have been created..

The mission of the Association is to honor donors and to save and improve lives by promoting the safety, quality and availability of donated tissue for transplantation, and non-transplant anatomical material for education and research.
