Governance Explanations

Form 990, Part VI, Section A, line 3

The Corporation is obligated under the terms of a property management agreement with Heritage Housing Partners Corporation (HHP) through December 31, 2016. Under the terms of the agreement, the Corporation paid a fee totaling 5% of gross rental collections to HHP for property management services. The calculated fee was paid on a monthly basis. During the year ended December 31, 2016, property management fees totaling $8,145 were charged to operations.

Form 990, Part VI, Section A, line 7A

The Board of Trustees manage the business and affairs of the Corporation and are appointed by Heritage Housing Partners Corporation in accordance with the Bylaws, Article I, Sections 1 and 2. The Board of Trustees in turn elect the officers and Board of Directors of the Corporation in accordance with the Bylaws, Article III, Section 2.

The draft Form 990 is sent to the governing body (Board of Directors). The Board of Directors reviews the Form 990 and resolves any questions. The Board of Directors sends approval to the tax preparer to finalize the return.

Form 990, Part VI, Section B, line 12C

The corporation's conflict of interest policy requires that no member of the board shall participate in any discussion or vote on any matter in which the member or their immediate family has a potential conflict of interest. The policy requires members with potential conflicts to announce the conflicts and excuse themselves from the meeting until the discussion over said matter is resolved. The president of the meeting is expected to inquire if a potential conflict is apparent but has not been disclosed.

Part IV, Line 2B:

The amount of $4,788 as of December 31, 2016 on the accompanying statement of financial position, represents funds deposited in a savings account with a balance which is at least equal to the tenants' security deposits. Maryland Rent Escrow Law requires the Corporation to maintain a separate account for deposits paid by the tenants, and to credit the deposits annually with interest at 1.5% a year at six-month intervals. Tenant security deposits are held in a federally insured bank.

Part X, Line 2:

The Corporation is exempt from income taxes under Section 501(c)(3) of the Internal Revenue Code, except for unrelated business income as defined in the Code. The Corporation has been classified as a publicly-supported organization which is not a private foundation under Section 509(a) of the code.
