Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization updated its governing documents to reflect its name change from rubber manufacturers association inc to u.s. Tire manufacturers association, inc.

Form 990, Part VI, Section A, Line 6

There are two categories of membership: manufacturers and statistical affiliates.

Form 990, Part VI, Section A, Line 7A

All members can propose or second a candidate for membership and each member is entitled to one vote at meeting of members. Members also have benefits, obligations and right of participation in affairs of the association.

Form 990, Part VI, Section B, Line 11B

The return was prepared by the outside accountants and reviewed by senior management and then by the finance committee. The final copy of the 990 was sent via e-mail to each board and finance committee member to provide them with an opportunity to review the 990 before it was filed with irs.

Form 990, Part VI, Section B, Line 12C

All employees and board and committee members are annually required to read the conflict of interest policy and sign a compliance statement. The president or executive committee (if a conflict of interest is with president) is notified if there is a conflict of interest. The executive committee meets to resolve any issues with advice of counsel.

Form 990, Part VI, Section B, Line 15

Compensation is based on annual compensation studies by outside consultants and compensation comparison to other non-profit trade organizations of similar size and budget. All compensation amounts are approved by the board and no voting member of the board has any conflict of interest relationship with any staff. Annual budgets are approved by the board and minutes of the board of director meetings record all compensation decisions. The president/ceo last salary review was in january 2018.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.
