Governance Explanations

Form 990, Part VI, Section A, Line 6

The sgac has two classes of members: regular and associate. Regular members can be sole proprietorships, partnerships, corporations, or trade associations which do business and are actively engaged in legislative and/or regulatory activity in multiple states. Associate members are organizations that support the mission of sgac and provide services to regular members in multiple states.

Form 990, Part VI, Section A, Line 7A

Regular and associate members are eligible to vote on selection of officers and directors.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by a cpa and reviewed by management. The form 990 is provided to the full board of directors prior to filing. The return is approved and signed by the executive director.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is contained in the organization's bylaws and the conflict of interest policy document. The policy requires that no director engage in any activity that constitutes a conflict of interest. The policy provides definitions of conflicts and requires each member of the board of directors and other members of sgac with board of director level responsibilities to sign the conflict of interest policy upon being elected to the board or receiving responsibilities with board level status. The policy requires that any conflict be disclosed to the president of the board of directors and/or the executive director immediately. As a matter of policy, sgac does not engage in transactions with its board members, their companies or members of their families. Contributions, however from these groups are accepted.

Form 990, Part VI, Section B, Line 15A

Compensation of the executive director is set by the board of directors in the annual negotiation with the executive director. Salaries are based on comparative market data for similar positions in the nonprofit sector. The board of directors also approves all raises and bonuses (if any). The decision of the board with regard to compensation is documented in the minutes of the meeting where such amounts were approved. In addition, a communication from the executive director to the board president, vice president and treasurer is distributed, signed, and kept on file to authorize the change in compensation.

SALARIES ARE BASED ON COMPARATIVE MARKET DATA FOR SIMILAR POSITIONS IN THE NONPROFIT SECTOR. THE BOARD OF DIRECTORS ALSO APPROVES ALL RAISES AND BONUSES (IF ANY). THE DECISION OF THE BOARD WITH REGARD TO COMPENSATION IS DOCUMENTED IN THE MINUTES OF THE MEETING WHERE SUCH AMOUNTS WERE APPROVED. IN ADDITION, A COMMUNICATION FROM THE EXECUTIVE DIRECTOR TO THE BOARD PRESIDENT, VICE PRESIDENT AND TREASURER IS DISTRIBUTED, SIGNED, AND KEPT ON FILE TO AUTHORIZE THE CHANGE IN COMPENSATION.
