“The organization has members who elect the members of the governing board. The members do not approve significant decisions of the governing body. The members do not receive a share of the organization's profits or excess dues or a share of the organization's net assets upon the organization's dissolution. Company members are allowed one vote for the election of the board of directors.”

“The membership of the organization consists of the following classes: 1) contractor members - a contracting company in good standing that has been primarily engaged in licensed contractor work in the local engineering construction industry; 2) affiliate members - an affiliate company in good standing that has been primarily engaged in the supplying of goods and services in the local engineering construction industry; and 3) cooperating members - granted to individuals rather than companies. A cooperating member is allowed to serve on the board of directors and vote at that level, but cannot vote at the annual membership meeting and cannot hold officer title. Company members are granted one membership vote for one set of membership dues. Membership companies are allowed only one vote at the annual membership meeting. Voting rights for contractor members and affiliate members are the same except as defined in the board of directors' quorums. At the annual membership meeting the contractor and affiliate member companies vote to elect the next year's board of directors as proposed by the current year's board of directors.”
