Article iii: procedures 1. Duty to disclose in connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers or others considering the proposed transaction or arrangement. 2. Determining whether a conflict of interest exists after disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. 3. Procedures for addressing the conflict of interest a. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. B. The compliance officer will investigate and resolve all reported complaints and allegations. The compliance officer shall inform the head, board chair and financial committee about the outcome and if needed, the investigation and the appropriate course of action. C. After exercising due diligence, the governing board or committee shall determine whether the school can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. D. If a more advantegeous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority voted of the disinterested directors whether benefit, and whether it is fair and reasonable. In conformity, with the above determination it shall make its decision as to whether to enter into the transaction or arrangement.

The head of school is evaluated by the board of directors and the faculty every three years. The head of school is then offered a contract with a salary negotiated between the head of school and board chair, which is then reviewed and approved or disapproved by the executive committee of the board of directors.

Financial Statement Notes

PART X, LINE 2:

The school is a not-for-profit organization that is exempt from income taxes under section 501(c)(3) of the internal revenue service as other than a private foundation. The school has analyzed tax positions taken for filing with the internal revenue service and all state jurisdictions where it operates. The school believes that income tax filing positions will be sustained upon examination and does not anticipate any adjustments that would result in a material adverse effect on the school's financial condition, results of operations or cash flows. Accordingly, the school has not recorded any reserves or related accruals for interest and penalties for uncertain tax income tax positions at june 30, 2020 and 2019. The school is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. The school's policy is to classify income tax related interest and penalties in interest expense and other expenses. The school's open audit years are 2016-2018.

ACCORDINGLY, THE SCHOOL HAS NOT RECORDED ANY RESERVES OR RELATED ACCRUALS FOR INTEREST AND PENALTIES FOR UNCERTAIN TAX INCOME TAX POSITIONS AT JUNE 30, 2020 AND 2019.
