Governance Explanations

Form 990, Part VI, Section B, Line 11B

Form 990 is reviewed by members of the finance committee and the executive committee of the board of directors prior to filing. Senior management also reviews the form 990 and answers questions received from the aforementioned committee members regarding the form 990.

Form 990, Part VI, Section B, Line 12C

Humanim employees, board members, and other volunteers are required to annually sign a conflict of interest statement declaring any conflicts (financial and/or other) that may be seen as competing with the interests or concerns of the organization. Employees complete the conflict of interest policy when they begin service on the board and in september of each year thereafter. In addition, board members are asked to declare any conflicts of interest at the beginning of each board meeting and to recuse themselves from any vote that involves a conflict.

Form 990, Part VI, Section B, Line 15

Humanim has an independent compensation committee that meets a minimum of twice per year. The committee utilizes an independent compensation consultant to provide credible comparability salary data for humanim executives who are "disqualified persons" under the irs intermediate sanctions rules. The committee reviews the data annually and determines the compensation packages of these executives. The compensation committee documents, concurrently with its determination, the basis for its determination in the minutes of its meeting. These minutes are reviewed, revised if necessary and approved at the following meeting of the committee. The compensation committee is composed of board members with no conflicts of interest and independent legal counsel. The compensation committee last undertook the process in 2017 for the chief executive officer, chief financial officer, chief operating officer and the chief business officer.

PART X, LINE 2:

Humanim follows the provisions of accounting for uncertainty in income taxes under the income taxes topic of the codification. The codification requires the evaluation of tax positions, which include maintaining its tax-exempt status and the taxability of any unrelated business income, and does not allow recognition of tax positions which do not meet a "more-likely-than-not" threshold of being sustained by the applicable tax authority. Management does not believe it has taken any tax positions that would not meet this threshold.
