The form was distributed to the governing body prior to its filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is annually distributed to the board of directors and staff. All board members are provided a disclosure statement to sign at the spring board meeting. If the board members do not turn it in by the end of the meeting, the chief executive officer will follow-up with the member via email to request the documentation. The disclosures are reviewed by the chief executive officer for any conflicts or concerns. All conflicts are presented to the board chair for discussion to determine if further action is necessary.

Form 990, Part VI, Section B, Line 15A

The salary of the chief executive officer is determined by the executive committee, who uses an independent search study which compares similar positions and organizations. The executive committee utilizes a written employment contract with the chief executive officer and reviews the chief executive officer's compensation during its annual review process. The chief executive officer is not present during the executive committee's compensation discussions.
