Additional Explanations

Review Process of Form 990

PART VI, SECTION A, QUESTION 11: The ELI By-laws direct that the Board's Audit and Governance Committee annually review the IRS Form 990 prior to its submission. The 990 process starts with the ELI Vice President of Finance providing all financial data and process descriptions to the outside auditor. The outside auditing team then generates the first draft of the formatted 990 which is then completely reviewed by ELI finance personnel for accuracy and completion. When that review is complete, the draft is provided to the Board's Audit and Governance Committee and ELI Leadership for their review. ELI staff and outside auditors provide briefings on the 990 document and make changes as needed. Once the Audit and Governance Committee has approved the draft, it is transmitted to the full Board of Directors for their comment and review. When that review is complete, and any additional changes made, the Vice President for Finance and Administration and the outside auditor sign the form and submit it to the IRS. In its compliance oversight role, the Audit and Governance Committee is also responsible for reviewing ELI policies, ELI's accounting systems and internal financial controls, and other governance issues including implementation of the whistleblower and conflict of interest policies.

Conflict of Interest Policy

PART VI, SECTION B, QUESTION 12: On an annual basis, officers and directors are required to complete and sign a conflict of interest statement in accordance with ELI by-laws. That statement confirms that the Board member has no known or potential conflicts or, if a conflict may arise, discloses it. Each director and officer provides this form to the ELI general counsel for review. These forms are then provided to the Audit and Governance Committee for their review by the General Counsel should a question or issue arise requiring the Committee's input or decision. In addition, officers and directors are instructed to disclose any new conflict (whether actual or potential) whenever it arises. All board members and officers have completed such a form or, in the case of a congressional member, this requirement is satisfied by the statutorily required financial disclosure form which is also reviewed (Ethics in Government Act of 1978, as amended). In addition, the Vice President for Finance and Administration, and staff, track and report any payment made to any director for any reason (which may include reimbursement of travel expenses related to an ELI event). ELI also tracks any payments made to companies for which a director may work. If such payments are made, the Audit and Governance Committee is advised so they can also review such payments.

PART VI, SECTION C, QUESTION 19: Copies of the ELI Annual Report, the ELI Financial Statements, and the IRS Form 990 are publically available on the ELI website. In addition, ELI gives notice on its web site that these documents are also available in paper form on request.

Process for Determining Compensation

PART VI, LINE 15B: The process for determining and reviewing the management compensation for the President is governed by ELI By-Laws which require an annual review by the Executive Committee. That review is often done using existing data from comparable organizations in relevant geographical areas as well as performance review.

Research and Policy Division (Continued from Page 2)

FORM 990, PART III, LINE 4A, PROGRAM SERVICE ACCOMPLISHMENTS: In response to the growing menace of armed conflict, ELI has become a global leader of the new field of environmental peacebuilding. This field integrates natural resource management into conflict prevention, mitigation, resolution, and recovery to build resilience in communities affected by conflict. This year, our environmental peacebuilding program expanded dramatically through a new knowledge platform, workshops, and publications. As the leader in educating the world's judiciary about environmental law, ELI's judicial education program has educated more than 2,000 judges in 25 nations. In 2014, we made further strides with our programs in Haiti, Mexico, and Cyprus. ELI plays a leading role developing better legal systems to govern long-neglected ocean resources. In 2014 ELI helped Caribbean nations design and implement new ocean management regulations to protect critical ocean resources that support the spectacular array of life that depend on them. ELI continued its critical work in the Gulf of Mexico helping local fishing communities access needed resources and designing policy solutions to ensure long-term benefits from disaster recovery and ecosystem restoration efforts. We brought together over 100 state, tribal, and federal officials for a three-day workshop on strategies for implementing significant changes to the Clean Water Act's vital total maximum daily load program. And we issued a significant report on best practices for managing water in the western United States.

FORM 990, PART III, LINE 4C, PROGRAM SERVICE ACCOMPLISHMENTS: Other events covered a broad range of subjects, such as offshore hydraulic fracturing; the ethics of communicating scientific uncertainty; energy law for environmental lawyers, and many others. Our monthly climate change briefings provided regular conference call updates on developments in climate policy in the U.S. and around the globe. We continued our ever-popular seven-part complimentary Summer School offering, an introduction to the legal and policy foundations of environmental protection in the United States. The summer session covered such topics as land use, product regulation, hazardous waste, clean water, clean air, and climate change. Our Eastern and Western Boot Camps on Environmental Law in Washington, D.C. and Seattle, WA, continue to draw leading environmental practitioners from across the U.S. to serve as faculty for these in-depth discussions of environmental law as applied aimed at early career environmental professionals.

The Environmental Law Reporter remains the most cited publication of its type in the nation and draws premier authors on current legal events. And ELI's award-winning The Environmental Forum continued to provide the best coverage of the environmental profession and environmental policy.

PART X LINE 2 The Institute evaluates uncertainty in income tax positions based on a more-likely-than-not recognition standard. If that threshold is met, the tax position is then measured at the largest amount that is greater than 50% likely of being realized upon ultimate settlement. As of December 31, 2014 and 2013, there are no accruals for uncertain tax positions. If applicable, the Institute records interest and penalties as a component of income tax expense. Tax years from 2011 through the current year remain open for examination by federal and state tax authorities.
