Form 990, Part VI, Section A, Line 6

The society has four (4) permanent classes of members: regular members, affiliate members, professional members, and student members. "regular member" is a cfa charterholder or a cfa program candidate. A regular member must: (a) hold a bachelor's degree or have equivalent education/work experience; (b) have a passing score for the level i cfa exam, or cipm program level ii exam, or the self-administered standards of practice exam; (c) at least 4,000 hours of relevant experience, completed in a minimum of 36 months; and (d) have two (2) or three (3) professional references. Regular members may apply for society membership through the cfa institute website. A regular member must agree to abide by the code and standards. Affiliate members, professional members, and student members do not have voting rights in the society.

Directors shall be elected by the regular members at the annual election. Each regular member shall have one (1) vote, which may be exercised by the regular member or by proxy.

The conflict of interest policy applies to board members, staff and volunteers of cfa society baltimore, inc. Persons covered under this policy are referred to as "interested parties." an interested party is under a continuing obligation to disclose any actual or potential conflict of interest as soon as it is known, or reasonably should be known. An interested party shall complete a questionnaire to fully and completely disclose the material facts about any actual or potential conflicts of interest. The disclosure statement shall be completed upon his/her association with the organization and shall be updated annually thereafter. An additional disclosure statement shall be filed at such time as an actual or potential conflict arises. The disclosure statements shall be provided to the president, or in the case of the president's disclosure statement, shall be provided to the vice president. The secretary shall file copies of all disclosure statements with the official corporate records of the organization. Whenever there is reason to believe that an actual or potential conflict of interest exists between the organization and an interested party, the board of directors shall determine the appropriate response of the organization. Where the actual or potential conflict involves an employee of the organization other than the president, the president shall, in the first instance, be responsible for reviewing the matter and may take appropriate action as necessary to protect the interests of the organization. The president shall report to the board the results of any review and the action taken. The board shall determine if any further board review or action is required. An interested party who has an actual or potential conflict of interest with respect to a proposed action or transaction of the organization shall not participate in any way in, or be present during, the deliberations and decision making of the organization with respect to such action or transaction.

The process in determining the executive director compensation included (1) a discussion with independent people involved in several other cfa institute societies, (2) a review of market value compensation information for comparable positions, and (3) an internal discussion amongst the board about past executive directors and the requirements from the executive director position. The board considered various elements of the position and determined a compensation level that was consistent with other cfa societies, consistent with market data, and consistent with our past hiring practices.
