Mission

The association for manufacturing technology's members strive to be global leaders in innovating, producing, and implementing advanced manufacturing technology. In support of its members, amt will be an active partner in the advancement of manufacturing technology and in the success of our members' businesses. As that active partner, amt will facilitate networking, collaboration, technology awareness, business opportunities, and productivity solutions. Also, we will advocate for a favorable environment for the manufacturing technology industry.

To promote the progress and development of high standards and stimulate the u.s. Machine tool industry.

PROGRAM SERVICE ACTIVITY #1

Form 990, Part III, Line 4A In 2013, AMT had pavilions in several foreign shows IMTEX (India), FEIMAFE (Brazil), and CIMT (China) in which members could participate and strengthen their ties in these markets. Other programs in the certified machine tool sales engineer (CMTSE) program is the only nationally recognized program that acknowledges individuals who possess the skills and knowledge needed to perform effectively as machine tool sales engineers. Smartforce has gone forward with a campaign that targets parents, students, educators and administrators to change perceptions among the next generation of young people who seek STEM (science, technology, engineering, and math) education and then careers in manufacturing. We are also working with many other trade associations who are also pursuing this goal of providing the needed manufacturers with qualified employees. MT sales fundamentals is designed for new hires in our industry or for those who are migrating from an application engineering position or a service position to outside sales and is one of our most popular in-person workshops.

PROGRAM SERVICE ACTIVITY #2

Form 990, Part III, Line 4B AMT continued its efforts into member outreach, helping member companies find new markets, new customers, and new approaches for marketing their products and services. All three established tech centers (one each in China, Mexico and India) showed growth in 2013 as members pursued international markets. AMT also conducted webinars and Business Review Days. The "Key Country Comparison" provided updates of representative business and selling costs in the BRIC's, Poland, Mexico and the United States. There were also opportunities to network and learn from fellow members stateside at events like MFG, the Global Forecasting Conference and the Service and Aftermarket Support Conference. For those who find it difficult to get away to trade shows and conferences, AMT has begun providing more and more webinars and even the chance to see EMO, Germany's largest trade show on IMTS.com IMTSTV.

Members or Stockholders

Form 990, Part VI, Line 6 AMT HAS 3 CATEGORIES OF MEMBERS: REGULAR MEMBERS, AFFILIATE MEMBERS, AND START-UP MEMBERS. AMT's Regular Members have voting rights. Members: Companies which have, for one year or more within the United States, manufactured, sold, and warranted the overall operational performance of non-portable, power-driven manufacturing machinery, systems, correlated equipment products, or software used in the processing steps for performing operations on man-made materials to produce discrete durable goods. Start-Up Members: Firms that, for less than one year immediately preceding the date of membership application, produce and sell or lease machine tools or related equipment, products or software in the United States. Start-Up Members do not have voting privileges. Affiliate Members: With the merger with AMTDA, this category has expanded to include distributors who pay dues but do not have voting privileges as well as organizations which have one or more programs structured to aid the advancement of the manufacturing technology industry, usually colleges, universities and other research facilities; they do not pay any dues, nor do they have voting privileges.

Members or Stockholders Who May Elect

Form 990, Part VI, Line 7a At least 90 days before the annual meeting, the chairman shall appoint a nominating committee comprised of the three most recent past chairmen of the Association that remain actively employed by or have retired from a Member. The nominating committee shall propose nominees for any vacancies in the board of directors to be filled at such meeting. Nominations may also be made by any Member by submitting a written statement to the nominating committee at the Association's principal office not later than 60 days prior to the date of the annual meeting. The nominating committee shall submit their nominations to the executive committee for review prior to the annual meeting and in time to permit notice of the nominating committee's nominations to be mailed to the Members at least ten days prior to the annual meeting. The nominations shall thereafter be submitted for membership approval at the annual meeting by an affirmative majority vote of the Members present.

Form 990, Part VI, Line 11b THE FORM 990 IS PREPARED BY AMT'S INDEPENDENT ACCOUNTING FIRM PRIOR TO FILING, THE ORGANIZATION CONDUCTS AN INTERNAL REVIEW OF THE FORM 990 WHICH IS PERFORMED BY THE ORGANIZATION'S MANAGEMENT IN CONJUNCTION WITH ITS ACCOUNTING/FINANCE STAFF.

Process for Determining Compensation

Form 990, Part VI, Line 15a & 15b The President's salary is controlled by independent persons serving on the Compensation Committee which is a sub-set of the AMT Board of Directors. All other salaries are controlled by the President. The Executive Salaries (Vice Presidents) are reviewed by the Chairman of the Board of Directors as well and approved by signature. The salaries are determined by referring to Market Salary benchmarks. The President's annual salary review is signed by the current Chairman of the Board of Directors, all other annual salary reviews are approved/signed by the President of the Association. Annually, all salaries including the Officers are benchmarked using 5 different salary surveys (PRM, HRA, Cordom, ASAE, and AMT's Executive Compensation Survey). The benchmarks are shared with the President (and in the case of the President are shared with the Compensation Committee). The compensation committee reviews the benchmark compensation reports deliberates and approves, then documents their approval when setting the president's total compensation.

Escrow or Custodial Account Liability

Schedule D, Part IV, Line 2b The Tech Centers in China (STC), India (CTC) and Mexico (MTC) do proxy hiring for member companies. Those companies must send funds in advance to cover their wages, taxes and benefits. Those funds are tracked through escrow accounts. In addition, MTC requires deposits for the agreements with member companies who train and utilize the services of MTC technicians to install and service their equipment located in Mexico.

Liability for Uncertain Tax Position (ASC 740)

Schedule D, Part X, Line 2 The Association is a non-profit corporation, exempt from federal income taxes under Section 501(c)(6) of the Internal Revenue Code. Pursuant to the Code and applicable state regulations, the Association is exempt from income tax except for income taxes on unrelated business activities. Revenue from advertising, affinity programs, and particular services to members is taxable as unrelated business income. The Association had federal and state income tax expense of $7,448 in 2013 related to 2012 unrelated business income. The Association recognizes or derecognizes tax positions on a "more likely than not" threshold. This applies to positions taken or expected to be taken in a tax return. The Association does not believe it has any material uncertain tax positions.
