Governance Explanations

Form 990, Part VI, Section A, Line 6

The regular membership of the corporation shall be limited to one-hundred (100) persons. In addition to the requirements for membership set forth in the articles of incorporation, each regular member shall have the following qualifications: (1) the person shall be the top ranking representative of his or her employer designated by the chief executive officer or executive office of such employer to be the senior representative in washington of his or her employer for overall government relations purposes. (2) the person shall be the policy spokesman for his or her employer authorized to articulate the employer's policies on government affairs and to ascertain and convey to the employer information on government policies which may affect the employer's business. (3) the person shall be possessed of such qualifications as will enable him or her to contribute to and and aid in carrying out the purposes of the corporation. Qualifications shall include indicia (such as the fortune 250) that define the business status or rank of his or her employer in the corporate community.

The regular membership elects board members at its annual meeting. The board may elect replacement board members to fill board slots that become vacant during the year to serve until the next succeeding annual meeting.

The form 990 is prepared by the office manager and reviewed by the secretary-treasurer or other officer.

Form 990, Part VI, Section B, Line 12C

Whenever a director or officer or staff member has a financial or personal interest in any matter coming before the board of directors, the affected person shall a) fully disclose the nature of the interest and b) withdraw from discussion, lobbying, and voting on the matter. Any transaction or vote involving a potential conflict of interest shall be approved only when a majority of disinterested directors determine that it is in the best interest of the corporation to do so. The minutes of meetings at which such votes are taken shall record such disclosure, abstention and rationale for approval. This policy shall be reviewed at each b-grc annual meeting when new officers and directors are elected.
