“1. Executive committee is composed of the officers and the immediate past chair. The executive committee has and may exercise all the powers of the board of directors in the management of the affairs of the gtus between meetings of the board of directors. It shall review the annual budget prior to its presentation to the board of directors for approval. All members are on the board. 2. The finance committee is responsible for the financial resources available to gtus to carry out its mission. Activities include financial development, fiscal accountability, audit and preparation of the annual budget for presentation, review and approval by the board of directors. The treasurer is the chair of the finance committee. All members are on the board. 3. The governance committee is responsible for board composition, assessment of board effectiveness, and periodic review of these bylaws and other documents and policies of the corporation. Activities shall include soliciting nominations for director and officer positions, securing the consent of each nominee to serve if elected, presentation of a slate of director and officer candidates for board approval, and orientation of new board members. The secretary is the chair of the governance committee. All members are on the board. 4. The membership committee is responsible for overseeing the affairs of the affiliate membership. Activities include reviewing new affiliate member applications and presenting such actions for board of directors approval. All members are on the board.”

National members work closely with community-based organizations in the global ties network to help build a more peaceful and prosperous world through exchange. (3) international members. “The board reviews and approves the completed 990 before it is filed, but if the filing of the 990 does nor coincide with a scheduled board meeting, the finance committee would convene a virtual or telephonic meeting to review and approve 990.”
“Annually, each board director and senior management team member sign a statement which affirms he/she: 1. Has received a copy of the conflicts of interest policy; 2. Has read and understands the policy; and 3. Has agreed to comply with the policy. For any actual or possible conflict of interest, the board member and senior management must disclose the existence of the financial interest and are given the opportunity to disclose all material facts to the board as well as its federal awarding agency. After disclosure of the financial interest and all material facts, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict exists. If the board or the committee decides that a conflict exists, the board or committee appoints a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the board or committee determines whether global ties u.s. Can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the board or committee determines by a majority vote of the disinterested directors whether the transaction or arrangement is in global ties u.s.'s best interest, for its own benefit, and whether it is fair and reasonable. It then makes its decision as to whether to enter into the transaction or arrangement. If the board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it informs the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the board or committee determines the member has failed to disclose an actual or possible conflict of interest, it takes appropriate disciplinary and corrective action including informing the federal awarding agency in writing. As to the employees, if global ties u.s. Becomes aware of a conflict of interest that an employee has not disclosed, the director of finance and operations discusses the situation with the employee, requires that a written disclosure be made as provided in the policy. Violations of global ties u.s. Policies, including the failure to avoid a prohibited activity or to disclose a conflict of interest in a timely manner, will be dealt with in accordance with applicable global ties u.s. Policies and procedures, which may include disciplinary actions up to and including termination.”
“The executive committee of the board evaluates the ceo's performance and recommend salary increases. Comparability - the increase in compensation reflects a combination of the federal cola increase and a merit increase based on the level of performance as judged by the exec committee. Board discussion and documentation, the board conducts a review of the president's performance; 100% of board members participated in the review through a written evaluation and a verbal discussion of the collated results at the board meeting. The executive committee discusses the outcome of the results and determines/approves the raise. The executive compensation does not take formal minutes on the deliberation, but they do have the evaluation results, the notes from the board discussion, and emails documenting the conversations and decision which are available. IT IS DESIGNED TO BUILD TRUST AND COLLAB ORATION BETWEEN U.S. AND INTERNATIONAL COUNTERPARTS AND SUPPORT U.S. FOREIGN POLICY GOALS. THROUGH A 60-YEAR PARTNERSHIP WITH THE U.S DEPARTMENT OF STATE, GTUS SUPPORTS A NETWORK OF U.S.-BASED EXCHANGE ORGANIZATIONS THAT DESIGN AND IMPLEMENT SHORT-TERM, PROFESSIONAL EXCHANGE PROGRAMS THAT CONNECT U.S. CITIZENS AND THE WORLD'S EMERGING LEADERS. IVLP EXCHANGES ENABLE PARTICIPANTS TO EXPERIENCE THE U.S. FIRSTHAND, CONNECT WITH U.S. COUNTERPARTS, AND SHARE THEIR RESPECTIVE CULTURES WITH AMERICAN COMMUNITIES.
