“The corporation shall have an executive committee composed of the officers and the immediate past chair. The executive committee shall have and may exercise all the powers of the board of directors in the management of the affairs of the corporation between meetings of the board of directors. It shall review the annual budget prior to its presentation to the board of directors for approval. A majority of the members of the executive committee shall constitute a quorum for the transaction of all business.”
“Membership: membership in the corporation, whether voting members or affiliate members, shall be groups or organizations whose aims and purposes are in concert with those of the corporation. Voting members of the corporation shall be members of the board of directors who are elected to hold office as provided in these bylaws. Such voting members shall be the sole members of the corporation for purposes of the district of colombia nonprofit corporation act. Ex-officio members and staff members who meet with the board of directors have no vote in the business of the corporation. Section 3. The corporation shall have the following types of affiliate members: community-based members, national members, and international members. Affiliate members shall have no voting rights. Community-based members are global hubs within their communities, connecting local government, nonprofit, business, and academic professionals with their international counterparts through international exchange and other programs. (b.) national members. The national members are nonprofits that implement exchange programs across the united states. National members work closely with community-based organizations in the global ties network to help build a more peaceful and prosperous world through exchange. (c.) international members. International members are organizations based outside the united states that share the corporation's commitment to promoting a more peaceful, prosperous world through international exchange.”
“The board reviews and approves the completed 990 before it is filed, but if the filing of the 990 does nor coincide with a scheduled board meeting, the finance committee would convene a virtual or telephonic meeting to review and approve 990.”
“Annually, each board director and senior management team member sign a statement which affirms he/she: 1. Has received a copy of the conflicts of interest policy; 2. Has read and understands the policy; and 3. Has agreed to comply with the policy. For any actual or possible conflict of interest, the board member and senior management must disclose the existence of the financial interest and are given the opportunity to disclose all material facts to the board as well as its federal awarding agency. After disclosure of the financial interest and all material facts, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict exists. If the board or the committee decides that a conflict exists, the board or committee appoints a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the board or committee determines whether global ties u.s. Can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the board or committee determines by a majority vote of the disinterested directors whether the transaction or arrangement is in global ties u.s.'s best interest, for its own benefit, and whether it is fair and reasonable. It then makes its decision as to whether to enter into the transaction or arrangement. If the board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it informs the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the board or committee determines the member has failed to disclose an actual or possible conflict of interest, it takes appropriate disciplinary and corrective action including informing the federal awarding agency in writing. As to the employees, if global ties u.s.
