FORM 990, PART VI, SECTION A, LINE 6:

Members there is one class of membership which consists of the archbishop of the archdiocese of washington, one or more vicars general of the archdiocese of washington as designated by the archbishop, the chancellor of the archdiocese of washington, and the appropriate archdiocesan secretary of the archdiocese of washington as designated by the archbishop, and their successors in office, each as selected or appointed according to the discipline of the roman catholic church.

Power to elect members of the governing body each member shall have the right to elect and remove members of the board of directors and the filling of vacancies that may occur.

Form 990 review process bdo usa, an independent public accounting firm, prepares and detail reviews form 990. After internal management's review, the board of directors' finance and audit committee conducts a detail review. This review takes place before the form 990 is filed.

Monitoring and enforcement of conflict of interest policy the policy calls for the board and management to complete a conflict of interest form annually. The board of directors, through the executive committee, reviews any conflict of interest that is identified. The full board of directors will determine restrictions imposed on an identified conflict.

This organization does not pay its president/ceo. The compensation process performed by a related organization, catholic charities of the archdiocese of washington is as follows: james j. Malloy is paid at the market rate consistent with ceo's of similar non-profit social services agencies. The board established his initial compensation based on a national search for a ceo and the recommendations of the consultants engaged to assist in the recruitment and hiring of a ceo. Any changes to ceo compensation, other than a cost-of-living adjustment at the same rate as most of the emploees of the agency, would be reviewed and approved by the board.

COUNSELORS PROVIDE PROFESSIONAL SUPPORT, STRUCTURE, SUPERVISION, AND CASE MANAGEMENT SERVICES TO HELP RESIDENTS ACHIEVE INDEPENDENT LIVING AND INDEPENDENT LIVING WITH AS-NEEDED ASSISTANCE IN GROUP HOMES AND APARTMENTS. LIFE SKILLS COUNSELORS HELP HOMELESS, MENTALLY ILL ADULTS LEARN THE SKILLS NEEDED TO LIVE INDEPENDENTLY. CASE MANAGERS PROVIDE CASE MANAGEMENT SERVICES FOR PEOPLE WITH MENTAL ILLNESS WHO HAVE RECENTLY BEEN RELEASED FROM MENTAL ILLNESS HOSPITALS, AND CASE MANAGEMENT SERVICES FOR THE HOMELESS MENTALLY ILL, COMPREHENSIVE CASE MANAGEMENT SERVICES ARE OFFERED 24 HOURS A DAY, 365 DAYS A YEAR TO CHRONICALLY MENTALLY ILL ADULTS.
