“NAEA is a membership organization, whose members actively participate in elections of officers. Also, NAEA members are eligible to vote for certain Board members.”

“ELECTION OF OFFICERS: Elections for the President-Elect and NAEA Division Directors-Elect shall be held in odd-numbered years, and for Regional Vice Presidents-Elect in even-numbered years. Candidates for office in the NAEA must be members in good standing who have held active membership in the Association during the past two previous biennium. A majority of the votes cast is required for election. VOTING: Active, Retired Active, Student, Honorary, and Life members of NAEA shall be eligible to vote for the President-Elect. Members of each Region shall be eligible to vote for the Regional Vice President-Elect for their own Region. Members in each Division shall be eligible to vote for the NAEA Division Director-Elect in their division.”

“Any amendment to the NAEA Constitution requires membership vote.”

“A draft 990 is sent to Board of Directors for review and approval prior to filing.”

“Each employee, director and/or officer is required to annually review and sign a copy of the conflict of interest policy, which requires each person to disclose any relationships, positions or circumstances in which he or she believes could contribute to a conflict. Following full disclosure of a possible conflict of interest, the Board of Directors shall determine whether a conflict of interest exists. If a conflict does exist, the Board shall vote to authorize or reject the transaction or take any other action deemed necessary to address the conflict and protect the Association's best interests.”

“A comprehensive performance evaluation is conducted annually which includes a review of the Executive Driector's performance by the Board of Directors as well as by the President and Past-President. The President and Past-President are provided with comparable compensation information obtained from a nationally-based survey for nonprofit organizations. The Executive Committee approves revisions and adjustments to compensation based on performance and in alignment with comparable compensation data.”

“The Association makes its Form 1023 available upon request. The Association makes available a public disclosure copy of its Federal Form 990 and 990-T upon request and on Guidestar.”

“Governing documents are available on NAEA's website; conflict of interest policy and financial statements are available upon request.”

“The Association's audit committee assumes responsibility for oversight of the audit, including selection of independent accountants. This process is consistent with the prior year.”
